RUMUSAN
Latarbelakang kontrak FMM
JKR telah melaksanakan 53 kontrak FMM bernilai RM2.6 billion bagi
tempoh 2009 sehingga 2016 .
Kaedah perolehan dibuat secara tender terbuka dan rundingan
terus menggunakan Syarat-Syarat Kontrak FM 2008.
Skop perolehan FMM mengabungkan bidang kerja dengan
bidang perkhidmatan .
Tender adalah dipelawa kepada Kontraktor yang berdaftar
dengan CIDB di bawah kategori B(Bangunan) CE (Kejuruteraan)
dan ME (Mekanikal &Elektrikal)

HALATUJU KONTRAK FMM
JKR melalui surat KPKR bertarikh 14 November 2016 telah mengemukakan
Cadangan Hala Tuju Dasar perolehan kontrak Pengurusan Fasiliti dan
Penyenggaraan (FMM) dalam projek Kerajaan .
Cadangan kategori perolehan FMM sebagai perolehan kerja
Kaedah perolehan FMM – dimana 3 kaedah perolehan telah
dicadangkan oleh JKR mengikut skop kerja .
Model 1 Skop bidang kerja dan bidang perkhidmatan hendaklah ditender berasingan dan
ditawarkan kepada Kontraktor berdaftar dibawah bidang berkaitan
Model 2 Skop bidang kerja dan perkhidmatan dibuat secara WPS ditender bersama dan
ditawarkan kepada Kontraktor fasiliti dan kontraktor berdaftar dengan
Kementerian Kewangan.
Model 3 Skop bidang kerja dan perkhidmatan ditawarkan kepada kontraktor Fasiliti yang
berdaftar dengan CIDB dan Kontraktor melantik sub kontraktor tempatan yang
berdaftar dengan Kementerian Kewangan bagi bidang perkhidmatan.

• Meluluskan kaedah perolehan FMM mengikut Model 2
yang ditawarkan kepada kontraktor fasiliti manakala
bidang perkhidmatan `custodial’ hendaklah dibuat
secara Wang Peruntukan Sementara dan ditawarkan
kepada kontraktor yang berdaftar dibawah
Kementerian Kewangan.

CLAUSE 1. DEFINITIONS AND
INTERPRETATION
Commencement Date
- Means the date of the commencement of the FMM Services as
provided in Clause 2.1
Contract Period
- Means the period referred to in Clause 2.1
Existing Management Information System
- Means a management information system already in existence as at
the Commencement Date to store
- And process information in all aspect of management, operation and
maintenance activities
CLAUSE 1. DEFINITIONS AND
INTERPRETATION Facility Manager:
- Person appointed by the Contractor pursuant to Clause 12
Facility Superintending Officer or FSO:
- ……………… and his successors in office as appointed by the
Government under Clause 23 to act on behalf of the Government for
matters stipulated in this Contract
FSO’s Representative:
- Person appointed by the FSO pursuant to Clause 24 to perform any of
the duties and exercise any of the right of the FSO
CLAUSE 1. DEFINITIONS AND
INTERPRETATION
Management Information System:
- System developed by the Contractor to store and process
information on all aspects of management, operation and maintenance
activities as specified in the FMM Technical Specification in Appendix 7A
Performance Requirement
- The standard performance of the FMM Services required to be
performed by the Contractor as specified in Appendix 7B
CLAUSE 2. CONTRACTPERIOD2.1 Contract Period
This Contract shall be for a period of …. years (hereinafter referred to as the“Contract Period”) commencing from …………….[insert date ofcommencement] (hereinafter referred to as the “Commencement Date”)and shall expire on………………[insert date of expiry] (hereinafter referred toas the “Contract Expiry Date”) unless terminated in accordance with theterms and conditions provided in this Contract.
2.2 Consequences of Expiry of Contract Period
Upon expiry of the Contract Period –
(a) The Contractor shall –
(i) cease to carry out all FMM Services;
(ii) at no cost to the Government, vacate the Site and remove all theContractor's equipment within fourteen (14) days from the Contract ExpiryDate, failing which the Government may (but without being responsible forany loss or damage) remove and sell any such equipment, holding theproceeds, less all costs incurred, to the credit of the Contractor, employees,agents and sub-Contractors from the Site;
(iii) co-operate with the Government to ensure a smooth transition of theFMM Services to the Government or any third party engaged by theGovernment;
iv) return to the Government any machinery, equipment, appliance,material, article, process, tool, record, document, manual, data and/orsoftware application in the Contractor's possession that belong to theGovernment;
v) hand over to the Government the Existing Management InformationSystem or the Management Information System together with its data inrelation to the FMM Services under this Contract in good and workingcondition; and
vi) at no cost to the Government, hand over to the Government all plans,designs, specifications and other relevant documents relating to the FMMServices.
(b) the Government shall pay to the Contractor all monies due andpayable as at the Contract Expiry Date PROVIDED THAT the Governmentshall be entitled to deduct any sum due to the Government from theContractor pursuant to the provisions of this Contract.

3. Peraturan sebelum kontraktamat DIMANA kontraktorhendaklah diantaranya :
Mengosongkan tapak denganmengeluarkan semua peralatandan jentera dalam masa 14 haridari tarikh tamat kontrak (Expirydate).
Bekerjasama dengan Kerajaanbagi memastikan pengurusanperalihan operasi danpenyenggaraan berjalan lancarkepada pihak ketiga yangdilantik/ kontraktor baharu.
CLAUSE 5. TERMS OFPAYMENT
5.1 The Parties agree that the payment for theFMM Services shall be on a monthly basis andshall be based on the FMM Services done andproperly performed and executed by theContractor.
5.2 For the purpose of payment in Clause 5.1,the Contractor shall submit to the FSO, at suchtimes and in such form as the FSO mayprescribe, a written application for the FMMServices monthly payments. The application forpayment shall be accompanied by documentsevidencing the following:
a) the value of FMM Services properlyexecuted for that particular month basedon the Schedule of Price as specified inAppendix 4;
b) the amount of any valuation of variations asinstructed by the FSO under Clause 29.1 (ifany);
c) the amount in regards to the expenditure ofProvisional Sum executed or expended;
d) the reports required by the FSO pursuant toClause 11.2 and particularly as described inAppendix 7A, which shall include theamount of ascertained performancededuction in accordance with thecalculation specified in the PerformanceRequirement in Appendix 7B (if any); and

1. Kaedah Bayaran dibuat secara bulanan (Monthly
Basis) berasaskan skop kerja yang telah dilaksana
dengan sempurna bagi bulan tersebut dan mencapai
KPI yang telah ditetapkan.
Bayaran juga termasuk V.O (jika ada)dan
perbelanjaan Provisional Sum yang dilaksana
dibawah skop kontrak.
2. Dokumen sokongan kepada bayaran spt.
- Laporan yang perlu disediakan seperti yang
dinyatakan di dalam FMM Technical Specifications
(Appendix 7A).

CLAUSE 6. PERFORMANCE
BOND
6.1 The Contractor shall, prior to the
Commencement Date, provide to the Government
an irrevocable Performance Bond issued or to be
issued in favour of the Government by an approved
licensed bank or financial institution incorporated in
Malaysia for a sum equivalent to five percent (5%)
of the Contract Sum amounting to Ringgit
……………………. (RM ………..) to secure the due
performance of the Contractor’s obligations under
this Contract.
6.2 The Performance Bond shall remain valid and
effective until twelve (12) months after the expiry of
the Contract Period.
PENERANGAN
1. Nilai Bon Perlaksanaan adalah 5%
daripada harga kontrak dalam bentuk
Bank atau Insuran Gerenti dari Institusi
Kewangan yang diluluskan oleh
Kerajaan.
2. PB hendaklah sahlaku sehingga 12
bulan selepas Tarikh tamat kontrak .
3. Addendum kepada PB dimana Kem
Kewangan telah membenarkan
penggunaan WJP . JKR melalui
Arahan KPKR bil 15/2017 bertarikh 7Jun
2017 telah mengeluarkan Addendum
no.1 kepada Syarat-syarat kontrak
FMM 2016
Sepanjang tempoh kontrak kontraktor hendaklah:
a) Menjalankan kerja Pengurusan fasiliti &
penyenggaraan mengikut terma dan syarat-syarat
kontrak yang dijelaskan dalam scope of Fmm
Services (appendix 10).
b) Menunaikan tanggungjwab seperti dinyatakan di
dalam Facilities Management Plan (FMP).
c) Melaksanakan Pengurusan Fasiliti dan
Penyenggaraan dengan teratur dan menepati ‘best
practice’ yang memberi keuntungan kepada pihak
Kerajaan di dalam menjaga kepentingan Kerajaan.
CLAUSE 7.OBLIGATIONS OF THECONTRACTOR
During the Contract Period, the Contractorshall—
a) carry out the FMM Services inaccordance with the terms andconditions of this Contract andparticularly as described in the Scope ofFMM Services in Appendix 10;
b) carry out its obligations as specified in thefacilities management plan (hereinafterreferred to as “FMP”);
c) perform the FMM Services in a propermanner and in accordance with the bestmanagement and industry practices andto the best advantage of theGovernment in order to protect theinterest of the Government;
d) at all times perform its obligations underthis Contract in such manner as willalways safeguard and protect theGovernment’s interest and take allnecessary and proper steps to preventabuse of the Site and in accordance withthe provisions of this Contract;
1. Dalam masa 14 hari dari Tarikh Mula kontrak
Kontraktor hendaklah menyerahkan FMP mengikut
format yang ditentukan kepada FSO /Wakil FSO
2. FSO/Wakil FSO dalam tempoh 14 / 28 hari, dari
tarikh serahan FMP oleh kontraktor hendaklah
a)Menolak secara bertulis.
b)Menerima secara bertulis dengan pindaan/tanpa
pindaan.
c)Memohon maklumat tambahan berkaitan FMP.
CLAUSE 9. FACILITIESMANAGEMENT PLAN
9.1 Within fourteen (14) days from theCommencement Date, the Contractor shallsubmit its FMP in the form and manner asspecified in the FMM Technical Specificationsin Appendix 7A to the FSO or FSORepresentative.
9.2 The FSO or FSO’s Representative shallwithin [fourteen (14) / twenty-eight (28)] daysafter the receipt of the FMP—
a) reject the FMP in writing;
b) accept the FMP in writing with or withoutmodification; and/or
c) request the Contractor to supply furtherinformation to clarify or substantiate theprogramme specified in the FMP or tosatisfy the FSO or FSO’s Representative asto its reasonableness having regard to theContractor’s obligations under theContract,
PROVIDED THAT if none of the actions inClause 9.2(a), 9.2(b), and/or 9.2(c) is takenwithin the period of fourteen (14) days fromthe date of receipt of the FMP, the FSO orFSO’s Representative shall be deemed tohave accepted the FMP as submitted.
CLAUSE 11. PERFORMANCE REQUIREMENT
11.1 Level of performance
The Contractor shall perform the FMM Services according to the
terms and conditions of this Contract and comply with the
standards specified by the Government in the Performance
Requirement in Appendix 7B.
11.2 Submission of reports
The Contractor shall prepare and submit the reports as specified in
the FMM Technical Specifications in Appendix 7A in accordance
with the time period specified therein for purposes of FSO’s records
and/or information and valuation of the Contractor’s performance
which shall also form the basis of the calculation for ascertained
performance deduction under Clause 11.3.
The Contractor shall submit such reports under Clause 11.2.1 for the
FMM Services monthly payments which the Contractor shall be
entitled to pursuant to Clause 5. The Parties agree that in the event
the Contractor fails to submit such reports, the FSO shall make the
valuation of the FMM Services based on available documents
submitted to him for the purpose of issuance of interim payment
certificate.
11.3 Ascertained Performance Deduction
The Parties agree that the Government shall have the right to
deduct a sum calculated in accordance with the formula specified
in the Performance Requirement in Appendix 7B in the form of
ascertained performance deduction in the event that the
performance of the FMM Services fails to meet the key
performance indicator as specified in the Performance
Requirement in Appendix 7B. The Contractor hereby agrees that
the Government shall have the right to deduct the ascertained
performance deduction from any monies due or becoming due to
the Contractor under this Contract and failing which such
deductions shall be recovered from the Performance Bond or as a
debt due from the Contractor.
1. Kontraktor hendaklah melaksanakan FMM services
mengikut terma Kontrak dan menepati piawai
yang ditetapkan oleh Kerajaan di dalam
Performance Requirement (Appendix 7B).
2. Laporan hendaklah dikemukakan mengikut
kekerapan sebagaimana ditentukan dalam
Technical Specification (Appendix 7A).
3. Potongan bayaran akan dibuat bagi FMM services
yang tidak mencapai KPI mengikut formula yang
ditetapkan (Appendix 7B)
CLAUSE 12. FACILITY
MANAGER
12.1 The Contractor shall appoint a Facility Manager to
manage the FMM Services on Site and to liaise with the
FSO whenever necessary. The Facility Manager shall
have the following criteria:
(a) competent, efficient, suitably qualified and
experienced in the relevant industry;
(b) of good character; and
(c) able to communicate and receive instructions in
Bahasa Malaysia and English.
12.2 The Contractor shall ensure that the Facility
Manager appointed pursuant to Clause 12.1 shall be at
the Site at all times. If the Government is of the view
that the Facility Manager appointed by the Contractor
does not fulfil the criteria as specified in Clause 12.1,
upon written notification from the Government, the
Contractor shall provide an immediate replacement of
the Facility Manager and all wages and other expenses
in connection with the employment of such
replacement shall be borne by the Contractor. Any
directions, explanations or instructions given to such
Facility Manager by the FSO shall be deemed to have
been given to the Contractor.
PENERANGAN
1. Kontraktor hendaklah melantik Facility Manager (FM) untuk
mengurus FMM Services di tapak dan berurusan dengan
FSO . Facility Manager yang dilantik hendaklah
mempunyai kriteria spt berikut;
a)Kompeten, cekap, berkelayakan dan berpengalaman.
b) Karakter yang baik.
c) Mampu berkomunikasi dan menerima arahan di dalam
Bahasa Melayu dan Inggeris.
Sekiranya Kerajaan mendapati FM yang dilantik tidak
memenuhi ciri-ciri diatas maka Kerajaan berhak memohon
Kontraktor menggantikannya.
3. Facility Manager (FM) yang dilantik hendaklah sentiasa
berada di tapak sepanjang tempoh kontrak.
CLAUSE 13. EMPLOYMENT
OF WORKMEN 13.1 The Contractor shall provide workmen of skilled,
qualified, experienced and competent in the industry
in carrying out the FMM Services.
13.2 The Contractor shall employ only Malaysian
citizens as its workmen and they shall possess the
basic qualifications and relevant experience as
specified in the FMM Technical Specifications in
Appendix 7A.
CLAUSE 14. COMPLIANCE WITH
THE EMPLOYMENT ACT 1955, ETC
PENERANGAN
1. Kontraktor hendaklah menyediakan pekerja mahir,
berkelayakan dan kompeten di dalam industry
bagi melaksanakan FMM Services.
2. Penggajian pekerja hendaklah dikalangan warga
negara Malaysia yang mempunyai kelayakan asas
dan pengalaman berkaitan.
3. Kontraktor hendaklah mematuhi akta penggajian
yang ditetapkan oleh Kerajaan iaitu Employment
Act 1955 [Act 265], Employment (Restriction) Act
1968 [Act 353], National Wages Consultative
Council Act 2011 [Act 732] dan lain-lain undang-
undang yang ditetapkan.
CLAUSE 18. INSURANCE FOR FMM SERVICES
18.1 Taking of Insurance
18.1.1 The Contractor shall take out and maintain, in the joint
names of the Government and the Contractor, insure
against loss and damage by fire, lightning, explosion, storm
tempest, flood, ground subsidence, bursting or overflowing of
water tanks, apparatus or pipes, aircraft and other aerial
devices or articles dropped therefrom, riot and civil
commotion, burglary, vandalism, professional indemnity, all
work executed and all unfixed materials and goods,
delivered to, placed on or adjacent to the FMM Services…
CLAUSE 19. INSURANCE AGAINST PERSONAL INJURIES AND DAMAGE TO PROPERTY19.1 Taking of Insurance
19.1.1 Without prejudice to its liability to indemnify the Government under Clause 15, the Contractor shall, as a condition precedent to the commencement of any work under this Contract, effect and maintain the insurance policy against personal injuries and damage to property whether with or without an excess amount as specified in the Appendix to the Conditions of Contract in Appendix 5 as are necessary to cover the liability of the Contractor and all sub-contractors, whether nominated or otherwise.
PENERANGAN
1. Kontraktor hendaklah mengambil insuran FMM Services bagi
melindungi kerugian dan kerosakan yang dinyatakan di
dalam kontrak .
2. Nilai insurans adalah nilai kontrak seperti dinyatakan di
dalam Appendix 5.
3. Tempoh liputan insurans FMM services hendaklah meliputi
tempoh kontrak iaitu dari Tarikh Mula sehingga Tarikh Tamat
Kontrak (Expiry Date).
4. Insurans kemalangan diri dan kerosakan harta, tanggungan
hendaklah meliputi kontraktor dan sub kontraktor
(nominated atau selainnya) .
5. Tempoh liputan insuran adalah bermula dari tarikh mula
operasi dan penyenggaraan (Tarikh Milik Tapak) hingga
tamat kontrak.
CLAUSE 22. MANAGEMENT
INFORMATION SYSTEM
22.1 Contractor’s Obligation
22.1.1 The Contractor shall, within three (3)months from the Commencement Date,develop, procure, manage and maintain theManagement Information System which shall becompatible with and able to integrate with theGovernment’s asset management informationsystem.
22.1.2 If there is an Existing ManagementInformation System, the Contractor shallmanage, maintain, amend, upgrade andupdate the Existing Management InformationSystem accordingly.
22.1.3 The Contractor shall integrate theManagement Information System or the ExistingManagement Information System with theGovernment’s asset management system at itsown cost and expense.
1. Tanggungjawab Kontraktor dalam masa 3 bulan
dari Tarikh Mula hendaklah membangun,
memperoleh, mengurus dan menyenggara MIS bagi
membolehkan operasi dan penyenggaraan dapat
dilaksanakan dengan lancar. MIS yang dibangun
hendaklah boleh berintegrasi dengan sistem
maklumat aset Kerajaan yang ada.
2. Sekiranya kontrak telah mempunyai MIS `sediada’
Kontraktor hendaklah mengurus, mengemaskini dan
meminda secara teratur.
CLAUSE 23. FACILITY
SUPERINTENDING OFFICER
23.1 Appointment of FSO
The Government shall appoint a
FSO to act on behalf of the
Government for matters stipulated
in Clause 23.5 of this Contract.
CLAUSE 24. FSO’S REPRESENTATIVE
24.1 The FSO may from time to time
appoint such number of FSO’s
Representative as he deems fit and
may change the FSO’s
Representative by giving the
Contractor notice in writing of such
change.
PENERANGAN
1. Kerajaan hendaklah melantik FSO untuk
bertindak bagi perkara di bawah klausa 23.5
(FSO’s duties).
2. FSO adalah agen kepada Kerajaan dan
bertanggungjawab mengawasi serta
mengarah kerja bagi pelaksanaan serta
penyiapan sesuatu kerja tersebut.
3. FSO dari semasa ke semasa boleh melantik
beberapa orang sebagai Wakil FSO (Klausa
24)yang layak dan bertanggungjawab kepada
FSO dan merupakan seorang sub agen kepada
Kerajaan.
CLAUSE 25.
GOVERNMENT’S RIGHT
TO RENOVATE THE SITE
25.1 The Government may, at any time during
the Contract Period, appoint any third party to
carry out any renovation and/or modification to
the Site or any part of the Site at the
Government’s cost and expense. The Contractor
shall render any assistance required by the third
party appointed by the Government for the
purpose of carrying out any renovation and/or
modification to the Site or any part of the Site at
no cost to the Government.
25.2 Notwithstanding Clause 25.1, the
Contractor hereby agrees that any renovation
and/or modification to the Site or any part of the
Site carried out by the Government shall not
relieve the Contractor of its obligations in
carrying out the FMM Services under this
Contract.
PENERANGAN
1. Kerajaan mempunyai hak untuk
pengubahsuaian tapak sepanjang
tempoh kontrak di mana Kerajaan perlu
melantik pihak ketiga untuk menjalankan
kerja renovation/modification kepada
tapak atau sebahagiannya dengan
menggunakan peruntukan berasingan.
Kontraktor hendaklah bersetuju bahawa

CLAUSE 30 : SCHEDULE OF PRICE
30.1 Basis of Contract Sum
30.1.1 The quality and the description of theFMM Services as set out in the Schedule ofPrice in Appendix 4 shall be the basis of theContract Sum. Any error in description oromission of the FMM Services from the saidSchedule of Price shall not vitiate this Contractbut shall be rectified and the amount inrespect of such rectification shall be added toor deducted from the Contract Sum as thecase may be.
30.1.2 The Government reserves the right toadjust the prices and rates in the Schedule ofPrice submitted by the Contractor to ensuretheir reasonableness before acceptance oftender and the decision of the Governmentshall be final.
1. Schedule of Price (Appendix 4) merupakan asas
kepada Harga Kontrak. Sekiranya terdapat
kesilapan/peninggalan kepada kerja yang dinyatakan
di dalam SOP, ianya hendaklah diperbetulkan dan
tidak dianggap membatalkan kontrak.
2. Kerajaan mempunyai hak untuk melaras harga dan
kadar harga di dalam Schedule of Price dengan tidak
mengubah jumlah harga tender yang ditawarkan di
Borang Tender (Appendix 1) untuk memastikan
kemunasabahannya sebelum LOA.
3. Kuantiti Sementara yang diperuntukkan di dalam
Schedule of Price adalah merupakan kuantiti
anggaran dan tertakluk kepada pengukuran semula.
4. Wang Peruntukan Sementara adalah jumlah yang
diperuntukkan pada peringkat tender dan
perbelanjaannya samada keseluruhan atau pun
sebahagian hendaklah dilaraskan.
CLAUSE 32. FINALACCOUNT ANDFINAL CERTIFICATE
32.1 Application for Final Account
32.1.1 The Contractor shall submit to the FSO, at such timesand in such form as the FSO may prescribe, a writtenapplication for final payment of the value of the FMMServices showing the amounts which in the Contractor’sopinion are due under the Contract.
32.1.2 Submission of the written application by the Contractorto the FSO pursuant to Clause 32.1.1 shall be accompaniedwith—
a) all documentation substantiating the amounts which inthe Contractor’s opinion are due under the Contract;and
b) the return of all drawings, details, specifications, reportsand management plans.
32.2 Final Certificate
32.2.1 Within three (3) months after receipt of theContractor's application for the final account pursuant toClause 32.1, the FSO shall issue a final certificate based on hisdetermination of the final account. The FSO's determinationof the final account and final certificate will be based on theContractor's application for the final account made pursuantto Clause 32.1 (in so far as the FSO deems it relevant to hisdetermination) and/or such other information anddocumentation that the FSO deems fit. The final certificateshall state the amount to be paid under this Contract by theGovernment to the Contractor or otherwise, as the case maybe, after deducting all amounts previously paid to theContractor by the Government and all sums to which theGovernment is entitled under this Contract and/or in law.
PENERANGAN
1. Dalam masa 3 bulan dari tarikh
penerimaan tuntutan akhir Kontraktor,
FSO hendaklah mengeluarkan Perakuan
Muktamad setelah menolak kesemua
bayaran yang telah dibayar dibawah
kontrak.
2. Sekiranya Kontraktor tidak
mengemukakan tuntutan bayaran akhir
dalam tempoh 3 bulan selepas tamat
kontrak FSO hendaklah menghantar
notis dengan memberi tempoh 2bulan
untuk kontraktor mengemukakantuntutan akhir. Sekiranya Kontraktor
gagal berbuat demikian maka FSO
hendaklah menyediakan perakuan
akhir tanpa perlu merujuk pada
Kontraktor.
CLAUSE 33. INVESTIGATION
AND AUDIT BY THE
GOVERNMENT
33.1 Government's right to inspect, investigate and
audit
The Government or any officer or person authorized in
writing by the Government at any time during the
Contract Period, shall have the right to—
a) inspect and investigate the Site, components and
any standard or equipment therein used in the
implementation of the FMM Services;
b) audit or monitor the performance of the FMM
Services;
c) inspect and investigate all records and documents
and make copies thereof in relation to the
implementation of the FMM Services which are
required to be kept at the Site;
d) request and obtain any information with regard to
the FMM Services; and
e) carry out audits on the operational, contractual
and financial matters pertaining to the Contract.
PENERANGAN
1. Kerajaan atau pegawai yang diberi kuasa
berhak menjalankan audit iaitu:
a) Memeriksa dan menyiasat tapak, komponendan piawaian atau peralatan yangdigunakan di dalam melaksanakan FMMServices
b) Audit atau mematau prestasi FMM Services
c) Memeriksa dan menyiasat semua rekod dandokumen dan membuat salinan yangberkaitan kepada dokumen
d) Meminta dan mendapatkan apa-apamaklumat yang berkaitan perkhidmatan FMM;dan
e) Menjalankan audit keatas operasi,pengurusan kontrak dan isu kewangankepada kontrak.
Kontraktor hendaklah menyediakan segala
keperluan dan maklumat berkenaan dan
bekerjasama sepanjang pemeriksaan, penyiasatan
dan audit yang dijalankan oleh Kerajaan.
CLAUSE 34. GOVERNMENT’S REPRESENTATIVE
Notwithstanding any provision in this
Contract, the right to act on behalf of
the Government in respect of any
matter which arises out of the
provisions of Clauses 35, 36, 37, 39 and
40 shall be exercised by the
Government’s Representative who is
an officer named in the Appendix to
the Conditions of the Contract in
Appendix 5.

untuk bertindak bagi pihak Kerajaan bagi
perkara berbangkit di bawah klausa
35,36,37,39 dan 40 .

CLAUSE 36. TERMINATION
BY THE GOVERNMENT36.1 Default by the Contractor
36.1.1 Event of Default
Without prejudice to any other rights or remedies whichthe Government may possess under this Contract orunder the law, if during the Contract Period, theContractor—
(a) fails to commence the FMM Services at the Site inaccordance with Clause 9.5;
(b) wilfully suspends or abandons the carrying out of theFMM Services or any part thereof;
(c) fails to proceed regularly or diligently with theperformance of its obligations under this Contract;
(d) fails to execute the FMM Services in accordance withthe terms and conditions of this Contract;
(e) persistently neglects to perform its obligations underthis Contract;
(f) fails to comply with any of the FSO's and / or the
Government’s Representative’s instructions;
(g) fails to maintain the validity of the Performance Bonduntil twelve (12) months after the expiry of this Contract;and/or
(h) fails to perform the FMM Services in accordance withthe Performance Requirement,
PENERANGAN
Kerajaan tanpa menjejas apa-apa remidi boleh membuatpenamatan kontrak jika kontraktor melakukan kemungkiran satuatau lebih daripada perkara berikut, iaitu:
1. Gagal memulakan operasi dan penyenggaraan sebagaimanaklausa 9.5 (FMP)
2. Dengan sengaja menggantung atau meninggalkankeseluruhan perkhidmatan FMM atau sebahagiannya ;
3. Gagal meneruskan perkhidmatan FMM mengikut aturan DANdengan tekunnya untuk mencapai prestasi yangdipertanggungjawabkan di bawah kontrak;
4. Gagal melaksanakan perkhidmatan FMM mengikut terma dansyarat-syarat Kontrak;
5. Kecuaian berterusan dalam menunaikan obligasinya di bawah
Kontrak;
6. Gagal mematuhi arahan P.P.F dan/ atau Wakil Kerajaan yang
Dinamakan;
7. Gagal memastikan tempoh sah laku Bon Jaminan Pelaksanaan
sehingga Dua Belas (12) bulan selepas Tarikh tamat Kontrak;
8. Gagal mencapai prestasi FMM services yang ditetapkan di
dalam Performance Requirement (Appendix 7B)
CLAUSE 37. TERMINATION BY THE
CONTRACTOR
37.1 Event of default by the Government
37.1.1 If the Government without any reasonable causefails to perform or fulfil any of its obligations which adverselyaffects the FMM Services, then the Contractor may issue anotice specifying the default by the Government andrequiring the Government to remedy the same within theperiod specified therein taking into account the nature ofthe remedy to be carried out by the Government or suchother period as may be agreed by both Parties from thedate of receipt of such notice.
37.1.2 If the Government fails to remedy the default periodspecified in such notice issued under Clause 37.1.1 withinthe stipulated period time therein or such other period as
may be agreed by the Parties, the Contractor shall havethe right to forthwith terminate this Contract by giving awritten notice to that effect (hereinafter referred to as the“Notice of Termination”).

Syarat-syarat kontrak memperuntukkan penamatan
pengambilan kerja oleh kontraktor boleh dibuat
apabila berlaku kemungkiran oleh Kerajaan kepada
perkara berikut:
1. Kerajaan didapati dgn secara munasabahnya
gagal memenuhi mana-mana tanggungjawab
kontraknya yang secara ketara menjejaskan
pelaksanaan perkhidmatan. Sekiranya Kerajaan
didapati gagal membetulkan kemungkiran tersebut
dalam tempoh yang dinyatakan maka kontraktor
berhak menamatkan pengambilan
perkhidmatannya dengan memberi notis bertulis
kepada Kerajaan.
CLAUSE 42. RESOLUTION OFDISPUTE
42.1 Dispute Resolution Committee
Any matter, dispute or claim between the Parties inrespect of any matter under this Agreement shall besettled amicably through mutual consultation ornegotiation between the Parties. Should the Parties fail toachieve an amicable settlement, the matter, dispute orclaim may be referred by either Party to a disputeresolution committee (the “Dispute ResolutionCommittee”) consisting of:-
(i) Ketua Pengarah Kerja Raya Malaysia or hisrepresentative as Chairman;
(ii) two (2) representatives appointed by theGovernment; and
(iii) two (2) representatives appointed by the Contractor.
42.2 Independent Expert
The Dispute Resolution Committee may appoint anindependent expert in the relevant field or in each of therelevant fields (if there is more than one field) to advise iton any matter to it and all costs, fees and expenses ofany independent expert so appointed shall be borneequally by the Parties.
42.3 Determination of Procedures
(i) The Dispute Resolution Committee shall determine itsown procedures.
(ii) The Dispute Resolution Committee shall meet andendeavour to achieve an amicable settlement betweenthe Parties in respect of any dispute referred to it.

rundingan gagal mencapai kata putus,

2. Keputusan DRC yang tidak mendapat
persetujuan dari kedua-dua pihak
berkontrak hendaklah dirujuk kepada
Timbangtara .
Jawatankuasa DRC terdiri daripada: KPKR atau wakilnya sebagai pengerusi 2 wakil yang dilantik oleh kontraktor

CLAUSE 44. STEP IN RIGHT OFTHE GOVERNMENT
44.1 In the event of the occurrence of a matterwhich the Government considers affects thenational interest, national security, publicpolicy, or a serious risk exists which affect thehealth or safety of persons or property or theenvironment of the Site, the Government shallhave the right to step in and carry out orcontinue all or any part of the FMM Services inplace of the Contractor for such period asdeemed fit by the Government.
44.2 For the purposes of this Clause, except for“serious risk” which is to be interpreted anddetermined in accordance with theOccupational Safety and Health Act 1994 [Act514], what constitutes “national interest”,“national security”, and “public policy” shall besolely determined by the Government andsuch determination shall for all intents andpurposes be final and conclusive and shall notbe open to any challenge whatsoever.
44.3 In no event shall the Government’sexercise any of its rights pursuant to Clause44.1 shall be deemed to be a transfer of theContractor’s obligations under this Contract tothe Government.

hal-hal berkaitan yang memberi kesan kepada
kepentingan negara, keselamatan negara, polisi awam
atau risiko tinggi kepada kesihatan dan keselamatan ke
atas orang atau harta benda atau persekitaran tapak
dan menjalankan sendiri perkhidmatan atau sebahagian
dari pekhidmatan FMM yang dijalankan oleh Kontraktor
sehingga satu masa yang dirasakan selamat .
CLAUSE 45. SUB-
CONTRACTING AND
ASSIGNMENT
45.1 Sub-Contracting and assignment
The Contractor shall not, without the prior written approval of
the FSO, sub-contract the whole or any part of the FMM
Services. Where the FSO consents to any sub-contracting under
this clause such consent shall not in any way absolve and
release the Contractor of its obligations under this Contract. The
Contractor shall also be responsible for the acts, omissions,
defaults and/or negligence of any of its sub-contractors, and
their agents, servants or employees as fully as if they were the
acts, omissions, defaults and/or negligence of the Contractor.
45.2 Determination of Sub-Contract
It shall be a condition in all the Contractor’s sub-contracts that
upon termination or expiry of this Contract, the Contractor shall
terminate its arrangement with the sub-contractors and no
claim whatsoever shall be made by the sub-contractors against
the Government in the event of the termination or the expiry of
the Contract and sub-contracts.
PENERANGAN
1. Tanpa kebenaran bertulis dari FSO, kontraktor tidak dibenarkan sub-
kontrak kesemua atau sebahagian FMM Services dan
bertanggungjawab sepenuhnya ke atas FMM Services yang telah di
sub-kontrak dibawah kontrak.
2. Sekiranya sub-kontrak ditamatkan perkhidmatan atau tamat tempoh
kontrak, kontraktor boleh menamatkan perkhidmatan sub-kontraktor
dan sub-kontraktor tidak dibenarkan membuat sebarang tuntutan
kepada Kerajaan.
3. Klausa 45.5.1 memperuntukkan, sekiranya FSO tidak berpuas hati
dengan prestasi mana-mana sub-kontraktor, FSO boleh meminta
kontraktor untuk:
Menamatkan perkhidmatan sub-kontraktor
Menggantikan sub-kontraktor
Menggantikan mana-mana pekerja atau ejen sub-kontraktor

RUMUSAN
Syarat-syarat kontrak piawai PWD FMM 2016 adalah merupakanpenambahbaikan kepada syarat-syarat kontrak FM 2008 yang
menjelaskan lebih terperinci keperluan-keperluan yang diperuntukkan di
bawah kontrak FMM dan diharapkan dapat meningkatkan lagi
keberkesanan di dalam pentadbiran kontrak FMM yang dilaksakan oleh
Jabatan.
Pengenalan kepada syarat-syarat kontrak FMM 2016 diharap dapat
memberi pengetahuan dan meningkatkan kefahaman dikalangan
FSO/Wakil FSO dan pegawai JKR keseluruhannya.
