    OBJEKTIF KURSUS

    Kursus ini bertujuan untuk para peserta Untuk memberikan pemahaman yang jitu berkenaan Tadbir Urus Korporat kepada peserta. Untuk melengkapkan peserta dengan pengetahuan asas mengenai Tadbir Urus Korporat. Untuk membolehkan peserta membuat penilaian secara tepat ke atas sesuatu isu yang dihadapi. Untuk mengelak berlakunya kesalahan Tadbir Urus Korporat dalam sesebuah syarikat.

    KANDUNGAN KURSUS

    Falsafah, prinsip dan definisi Tadbir Urus Korporat. Faedah melaksanakan Tadbir Urus Korporat. Ilustrasi kepada pelaksanaan Tadbir Urus Korporat dalam operasi syarikat. Kesalahan Tadbir Urus Korporat yang lazim dilakukan oleh pengarah / pegawai syarikat. Peranan dan tanggungjawap lembaga pengarah syarikat. Struktur lembaga pengarah. Tugas fidusiari pengarah syarikat. Peraturan keputusan perniagaan. Konflik kepentingan pengarah dan transaksi harta benda yang melibatkan pengarah.

    PESERTA SASARAN

    Lembaga pengarah, setiausaha syarikat, pegawai syarikat dan semua yang terlibat dalam tadbir urus korporat syarikat.

    PENCERAMAH

    Abdul Rasid bin Sudin, dilantik sebagai Pengarah Kanan, Penguatkuasaan di Pejabat Penguatkuasaan SSM pada 15 April 2014. Beliau memperoleh Ijazah Sarjana Muda Undang-Undang dengan kepujian (LL.B Hons) pada 1986 dari Universiti Malaya. Beliau bertanggungjawab dalam portfolio aduan, pematuhan, siasatan, litigasi awam dan penasihat undang-undang di SSM. Sebelum pelantikan ini, beliau telah berkhidmat dalam pelbagai kapasiti sebagai Timbalan Pendakwa Raya di Ibu Pejabat Badan Pencegah Rasuah, Malaysia dari Julai 1986 sehingga 1989,

    Timbalan Pendakwa Raya Sabah di Jabatan Peguam Negara Cawangan Sabah dari tahun 1989 hingga 1991, Timbalan Pendakwa Raya Pahang di Pejabat Penasihat Undang-Undang Negeri Pahang dari tahun 1991 hingga 1992, Peguam Persekutuan di Jabatan Hasil Dalam Negeri di Johor Bahru, Johor dari tahun 1992 hingga 1993, Penolong Penasihat Undang-Undang Negeri Johor di Pejabat Penasihat Undang-Undang Negeri Johor dari tahun 1993 hingga 2000, Peguam Kanan Persekutuan di Kementerian Dalam Negeri, Putrajaya dari tahun 2000 hingga 2001, Peguam Kanan Persekutuan/Timbalan Pendakwa Raya Sabah di Jabatan Peguam Negara Cawangan Sabah dari tahun 2001 hingga 2004, Ketua Unit Pendakwaan/Timbalan Pendakwa Raya Johor di Pejabat Penasihat Undang-Undang Negeri Johor dari tahun 2004 hingga 2007 dan Penasihat Undang-Undang Negeri Perlis dari tahun 2007 hingga 2013. Seterusnya, dari 1 November 2013 hingga 14 April 2014 bertukar ke Ibu Pejabat Jabatan Bantuan Guaman, Putrajaya sebagai Timbalan Ketua Pengarah (Sivil).

    Ku Hayati Binti Ku Haron, dilantik sebagai Pengarah Bahagian Perkhidmatan Perundangan, SSM pada 1 Oktober 2013. Beliau memperoleh Ijazah Sarjana Undang-Undang (LL.M.) dan Sarjana Muda Undang-undang (Kepujian), Universiti Islam Antarabangsa. Beliau ialah penasihat undang-undang kepada SSM dan menguruskan hal-hal berkaitan kes-kes pendakwaan di bawah Akta Syarikat 1965, Akta Pendaftaran Perniagaan 1956, Akta Perkongsian Liabiliti Terhad 2012 dan Akta Kutu 1971 serta kes-kes sivil oleh dan terhadap SSM. Beliau memulakan kerjaya undang-undang di dalam Perkhidmatan Kehakiman dan Perundangan pada 11 Disember 2000 sebagai Timbalan Pendakwa Raya di Unit Pendakwaan, Jabatan Peguam Negara Malaysia, Cawangan Kuala Lumpur. Dari 15 Ogos 2006 hingga 31 Oktober 2009 berkhidmat sebagai Timbalan Pendakwa Raya Unit Narkotik, Ibu Pejabat, Jabatan Peguam Negara Malaysia di Putrajaya. Selepas itu meneruskan perkhidmatan sebagai Penasihat Undang-Undang di Jabatan Wakaf, Zakat dan Haji di Jabatan Perdana Menteri Malaysia dari 1 November 2009 hingga 31 Julai 2010. Dari 1 Ogos 2010 berkhidmat sebagai Pendaftar di Unit Perlindungan Saksi Malaysia sehingga 16 December 2012. Dari 17 December 2012 sehingga September 2013 telah berkhidmat sebagai Peguam Kanan Persekutuan di dalam Unit Perlembagaan dan Pilihan Raya, Bahagian Penasihat, Jabatan Peguam Negara Malaysia.

    PAYMENT Payment can be made in cash, cheque, bank draft, postal order or money order. Each programme fee must be paid separately. Only cheque issued by company / firm can be accepted. Companies / Firms that issue a non-valid cheque will be blacklisted. Personal cheque will not be accepted.     TERMS & CONDITIONSRegistration is on a first-come-first-served-basis. No walk-in accepted. All registrations MUST be submitted to SSM accompanied with the full payment five (5) working days before the programme. Admittance will not be permitted unless payment or a letter of guarantee is received. There is no refund policy for cancellation by participant. If a participant fails to attend a programme, the registration fee will not be refunded nor allocated to another programme. Postponement / replacement is allowed if SSM is notified within three (3) working days prior to the programme. All postponements / replacements must be made in writing and acknowledged by SSM. SSM will charge an administrative fee of RM30.00 (inclusive of 6% GST) per copy for any replacement of certificate due to errors in name or identification card number wrongly filled by participant / representative during registration or loss of certificate, etc. SSM reserves the right to postpone the date or cancel programme and / or change venue due to any unforeseen circumstances that may arise. In cases of cancellation by COMTRAC, the participant will be duly informed and the registration fee will be refunded upon request.
