Following the Laos Rail project briefing by your team to all potential consultants and service providers in Taman Melawati on Wednesday 19 th February, 2014, and our subsequent discussions on the immediate needs of this exciting project, I am pleased to our consultancy services in the area of ICT and general business development as specified below for your kind consideration. 1. Objectives of engagement The first and main objective of this initial consultancy engagement is to help Digimap identify and specify the general requirements and budget for ICT solution and services for the Laos Rail project particularly during this immediate Planning, Survey and Design phase. A related, second objective is to assist Digimap to identify preliminary business and project opportunities and risks that need to be managed and developed in subsequent steps or phases. 2. Scope of Work We shall be responsible to carry out the following work during this initial engagement: a) Identify the ICT systems, applications and services that may be required by the main turnkey contractor and project management consultant (PMC) team during the planning, design, development and construction phases of the Laos Rail project. This is considered the preliminary scope for ICT and may cover the following:

i. Office productivity applications such as word processing,

spreadsheet, e-mail, presentation, and internet access;.

ii. Project Management System (PMS) including reporting and executive

dashboard;

iii. Integrated Document Management System (IDMS);

iv. Enterprise applications such as Financial and accounting system, HR

management, Materials Management (MM), Procurement, Logistics

and Work Management system;

v. Key ICT infrastructure such as Data Centre (DC), Disaster Recovery

Centre (DRC) and Backup centre, data communications network and

internet;

vi. Identify and estimate the requirements for ICT personnel to manage

and operate the ICT systems;

vii. ICT-related services such as outsourced ICT operations, specialist /

consultancy services for IT audit, security review, business continuity

management, and annual IT planning and review;

b) Identify and estimate the number and professional levels of ICT personnel

required to manage and operate the ICT systems;

c) Conduct the necessary research and inquiry to estimate the budget and related

resource requirements for the identified ICT system;

d) Consolidate the requirements and prepare the budget for ICT to be submitted to

client and project sponsor, and assist Digimap to justify the request;

e) Evaluate proposals and suggestions from other consultants and service

providers in the areas of ICT and related systems for rail operations such as

Automated Fare Collection (AFC), online booking and payment, and

communications;

f) Identify and/or recommend other technical, professional and management

resources who can contribute to the project;

g) Identify potential opportunities and risks in relation to the project as well as

Digimap’s business and suggest the appropriate action or strategy to develop

the sieze the opportunities and manage the risks;

h) Propose the scope for ICT for Digimap and associated consultants or business

entities in subsequent phases after this initial engagement.

3. Engagement duration, consultant and deliverables We propose to start with the initial engagement period of 3 months and I shall undertake the role of principal ICT and management consultant for Digimap and the project. I estimate that this engagement will require me to spend 6 man-days per month for 3 months. The deliverables that can be expected at the end of the initial engagement are as follows:

i. Budget for ICT for the survey and design phase specifically and the construction

phase of the project generally;

ii. Defined scope for ICT for Digimap and associated stakeholders for the survey

and design phase

4. Financial Proposal

The total fixed price of this initial consultancy engagement is RM 60,000 inclusive of the Malaysian government service tax and related business travel expenses within KL and Selangor area.

As this is a short, initial engagement, we propose the following payment and general terms:

a) Payment schedule - Initial payment of 50% of total price (RM30,000) upon

appointment by Digimap and payment of remaining 50% (RM30,000) upon

submission of the deliverables to Digimap;

b) Payment is to be made within 7 days of invoice;

c) Both parties can propose to terminate, extend, increase or reduce the scope of

this engagement by giving 3-day notice in writing (either letter or e-mail) to the

other party 3. Any cost or price related to this will be mutually agreed upon by

both parties.

ACCEPTANCE AND AUTHORISATION I, the undersigned, on behalf of Digimap Sdn. Bhd.
