5 Mac 2002• Takaful Malaysia secararasmi melancarkan duaproduk baru masing-masingdi bawah PerniagaanTakaful Keluarga danPerniagaan Takaful Am iaitu"Pelan Takaful Wiladah" dan"Skim Baitul Sa'adah"."Pelan Takaful Wiladah"menyediakan tabungandan manfaat kewangan jikaberlakunya komplikasi waktuhamil, kelahiran anak cacatdan manfaat tunai jika berlaku kematian kepada ibuatau anak. "Skim Baitul Sa'adah" menyediakanmanfaat tunai jika berlaku kehilangan atau kerosakanmaterial bagi rumah desa di kawasan luar bandar dandesa.

30 Julai 2002• Anak syarikat Takaful Malaysia, Asean RetakafulInternational (L) Ltd melancarkan produk baru iaitu“Takaful Lil Istithmar”, produk “investment-linked”pertama berdasarkan Prinsip Islam. Di bawah produkini, ia menyediakan peluang kepada Peserta salurandan kemudahan bagi melabur dalam dana IslamAntarabangsa yang terpilih dan pada masa yangsama memperolehi manfaat takaful jika ditakdirkanberlaku kematian. Manfaat takaful dibayar adalahsehingga 101% nilai tabungan pada masa Pesertameninggal dunia.

5 March 2002•Takaful Malaysia officiallylaunched two new products,"Pelan Takaful Wiladah" and"Skim Baitul Sa'adah" underthe Family Takaful Businessand General Takaful Businessrespectively. Pelan TakafulWiladah provides savingsand financial benefits asprotection in the event ofpregnancy complication,c h i l d b i r t h c o n g e n i t a l

disability to the newborn and cash benefits in the eventof death to the mother or baby. Skim Baitul Sa'adahprovides cash benefit in the event of a material loss ordamage to a private dwelling in suburban and ruralarea.

30 July 2002• A subsidiary of Takaful Malaysia, Asean RetakafulInternational (L) Ltd launched a new investment-linkedproduct called Takaful Lil Istithmar, the first investment-linked product of its kind based on Islamic Principles.Under the product, it offer opportunities to Participantsthe conduit and facility to invest in selectedInternational Islamic funds as well as takaful benefits inthe event of death. The benefits payable would beequivalent to 101% the value of fund at the time ofdeath.

23 October 2001• Takaful Malaysia signed a Memorandum ofUnderstanding (MOU) with Yayasan Terengganu toprovide a special product called "Pelan Takaful WaqafPendidikan Yayasan Terengganu". 2 Ogos 2002• Rating Agency Malaysia Berhad (RAM) telahmengesahkan Keupayaan Pembayaran Tuntutan(CPA) bertaraf A1 bagi Takaful Malaysia. Penarafantersebut menunjukkan Takaful Malaysia mempunyaipenguderitan berkualiti, kejadian tuntutan yangrendah, pendedahan risiko kepelbagaian ditambahdengan pemodalan dan taraf rezab yang baik.

26 February 2002• Takaful Malaysia receivedthe award of MS ISO9001:2000 Quality ManagementSystem by SIRIM QAS Sdn Bhdfor services under both theFamily Takaful Business andGeneral Takaful Business inrespect of issuance of takafulcertificates and the processingof claims.

2 August 2002• Rating Agency Malaysia

Berhad (RAM) has reaffirmed the Claims Paying Ability(CPA) rating of A1 for Takaful Malaysia. The ratingreflects Takaful Malaysia's underwriting quality, lowincidences of claims, well-diversified risk exposurecoupled with sound capitalisation and reserve levels.

6 April 2002• “Hari Takaful Bersama Wanita” program kempenkesihatan anjuran bersama dengan Pusat PerubatanKampung Baru, Kuala Lumpur dan Masjid At-Taqwa,Taman Tun Dr Ismail, Kuala Lumpur. Kempen tersebutadalah sebahagian daripada khidmatkemasyarakatan Takaful Malaysia disampingmempromosikan produk takaful terutamanya khususbagi wanita. Di dalam program ini, pemeriksaankesihatan percuma disediakan dan Pesertaberpeluang mengetahui dengan lebih dekatmengenai produk-produk takaful.

• Seminar Kefahaman Takaful Bagi Sektor Korporatdan Perbankan. Seminar secara berkala ini dianjurkanoleh Takaful Malaysia di seluruh Malaysia bagimempromosi dan menyebarkan maklumat bagimewujudkan kefahaman yang lebih mengenai konseptakaful.

Under this programme,free medical check-up is provided and Participantswould be able to understand more about takafulproducts.

• Seminars on Understanding of Takaful Concept forCorporate and Banking Sectors. This is a periodicalseminar held by Takaful Malaysia throughout thecountry to promote and disseminate information with aview of creating better understanding of takafulconcept.

Pendahuluan

Jawatankuasa Audit Syarikat Takaful MalaysiaBerhad (Takaful Malaysia) telah ditubuhkan pada 6Mac 1990 atas arahan Bank Negara Malaysia (BNM)bagi menyemak kedudukan kewangan kawalandalaman dan perancangan, pelaksanaanpengauditan Takaful Malaysia yang baru dibangunkan danmengemukakan cadangan-cadangan yang bersesuaian.

Komposisi

Ahli Jawatankuasa terdiri dari empat (4) PengarahBukan Eksekutif, dimana tiga (3) daripadanya adalahPengarah Bebas seperti berikut:-

Tuan Hj. Taib b. Rasak adalah fellow CharteredInstitute of Management Accountant ("CIMA") dan ahliInstitut Akauntan Malaysia ("MIA"). Oleh itu, TakafulMalaysia mematuhi Keperluan Baru Penyenaraian BSKLyang menyarankan Jawatankuasa Audit perlumempunyai sekurang-kurangnya seorang (1) ahli MIA.

Bidang-bidang Tugas

Pada tahun ini, bidang-bidang tugasJawatankuasa Audit telah dikaji untuk memastikanpematuhan kepada Keperluan Baru PenyenaraianBSKL. Bidang-bidang tugas yang baru dinyatakan dimuka surat 48 hingga 50.

Mesyuarat

Sepanjang tahun kewangan, Jawatankuasa Audittelah mengadakan sepuluh (10) mesyuarat, dimanaianya telah dihadiri oleh semua ahli. Mesyuarat telahd i laksanakan dengan sewaja r nya me la lu ipengunaan agenda dimana ianya diedarkan kepadaahli-ahli dalam tempoh yang bersesuaian.

Ketua Pegawai Eksekutif, Pengurus Besar BahagianKewangan dan Ketua Audit Dalaman telah hadirdengan jemputan ke mesyuarat tersebut. Wakiljuruaudit luar dan lima (5) Pengurus Besar Bahagianyang lain juga telah hadir ke mesyuarat tersebutdengan jemputan.

Ringkasan Aktiviti

Aktiviti-aktiviti utama yang telah dijalankan olehJawatankuasa sepanjang tahun ini adalah seperti berikut:-

• Mengkaji skop kerja juruaudit luar dan rancanganaudit tahunan. Sebelum audit, wakil juruaudit luarakan membentangkan rancangan dan strategiaudit mereka.

The Audit Committee of Syarikat Takaful MalaysiaBerhad (Takaful Malaysia) was established on 6 March1990 on the instruction of the Bank Negara Malaysia(BNM) to evaluate Takaful Malaysia's financial structure,internal control and planning, implementation of newlydeveloped auditing and to propose applicabledecisions.

Composition

The members of the Committee comprise four (4)Non-Executive Directors, three (3) of whom areIndependent as follows:-

Tuan Hj. Taib b. Rasak is a fellow of the CharteredInstitute of Management Accountant ("CIMA") and is amember of the Malaysian Institute of Accountant("MIA"). Thus, Takaful Malaysia complies with the KLSENew Listing Requirements which stipulate that at leastone (1) member of the Audit Committee must be amember of the MIA.

Term of Reference

During the year, the term of reference of the AuditCommittee was revised to conform to the New ListingRequirements of the KLSE. The new term of reference isset out on page 48 to 50.

Meetings

The Audit Committee convened ten (10) meetings,which were attended by all members during thefinancial year. The meetings were appropriatelystructured through the use of agenda which weredistributed to members with sufficient notification.

The Chief Executive Officer, General Manager ofFinance Division and the Chief Internal Auditor werepresent by invitation at the meetings. Representatives ofthe external auditors and five (5) other DivisionalGeneral Managers also attended the meetings uponinvitation.

Summary of Activities

The main activities undertaken by the Committeeduring the year were as follows:-

• Reviewed the external auditors' scope of work andaudit plans for the year. Prior to the audit,representatives from the external auditors,presented their audit strategy and plan.

• Reviewed with the external auditors, the results ofthe audit, the audit report and the Management

laporan audit dan surat Pengurusan, termasukmaklumbalas dari pihak Pengurusan.

• Mempertimbang dan mencadangkan bayaranyuran audit kepada juruaudit luar untuk kelulusanLembaga Pengarah.

• Mengkaji keperluan sumber Jabatan AuditDalaman, program dan rancangan untuk tahunkewangan yang ditinjau serta penilaian tahunanmengenai prestasi Jabatan Audit Dalaman.

• Mengkaji laporan audit dalaman, yangmenekankan isu-isu audit, cadangan danmaklumbalas pihak Pengurusan. Berbincangdengan pihak Pengurusan mengenai tindakanyang diambil untuk memperbaiki sistem kawalandalaman berdasarkan peluang pembaikan yangdikenalpasti di dalam laporan audit dalaman.

• Mengkaji laporan tindakan susulan oleh juruauditdalaman mengenai status tindakan yang diambiloleh pihak Pengurusan berkenaan cadangan yangdicadangkan di dalam penemuan audit.

• Mengkaji laporan tindakan susulan oleh juruauditdalaman berkaitan penemuan pemeriksaan BNMdan status tindakan yang diambil oleh pihakPengurusan berkaitan isu-isu yang dibangkitkan oleh BNM.

• Mengkaji laporan pihak Pengurusan berkaitankes-kes disiplin oleh kakitangan Syarikat.

• Mengkaji pengkaedahan penarafan audit olehJabatan Audit Dalaman dalam penakrifan danpengkadaran peringkat risiko dalam pelbagai sudutyang boleh diaudit dan memastikankeutamaan audit diberikan kepada bahagian yangmempunyai risiko tinggi dan kritikal.

• Memantau perkembangan Jabatan AuditDalaman dalam melaksanakan pengauditandalam tempoh yang ditetapkan.

• Mengkaji penyata kewangan Syarikat yang diauditsebelum dibentangkan kepada LembagaPengarah untuk pertimbangan dan kelulusan.Kajian adalah untuk memastikan penyatakewangan yang diaudit dibuat berdasarkanperuntukan-peruntukan yang terdapat di dalamAkta Syarikat 1965 dan piawaian perakaunanberkaitan yang diluluskan oleh Lembaga PiawaianPerakaunan Malaysia (MASB).

• Mengkaji pematuhan Syarikat terutamanyaterhadap penyata kewangan suku tahunan dantahunan dengan Keperluan Penyenaraian BSKL,MASB dan peraturan dan undang-undang berkaitan.

• Mengkaji keputusan kewangan suku tahunan yangtidak diaudit sebelum dicadangkan kepadaLembaga Pengarah untuk kelulusan.

• Mengkaji urusniaga pihak berkaitan yang dilakukanoleh Kumpulan.

Fungsi dan Aktiviti Juruaudit Dalaman

Jabatan Juruaudit Dalaman adalah bebas dalammenjalankan operasi dan aktiviti dari operasi unit-unityang lain. Tugas utama jabatan adalah untukmenjalankan kajian bebas dan sistematik terhadapsistem kawalan dalaman supaya dapat memberijaminan sewajarnya agar sistem tersebut terusberoperasi dengan berkesan dan memuaskan. Auditdalaman mempraktikkan kaedah dasar-risiko di dalamrancangan audit dan pemeriksaannya. Ia menjaditanggungjawab Jabatan Audit Dalaman untuk

• Reviewed the Internal Audit Department's resourcesrequirements, programmes and plan for thefinancial year under review and the annualassessment of the Internal Audit Department'sperformance.

• Reviewed the internal audit reports, whichhighlighted the audit issues, recommendations andManagement's response thereto. Discussed withManagement, actions taken to improve the systemof internal control based on improvementopportunities identified in the internal audit reports.

• Reviewed follow-up reports by the internal auditorson the status of actions taken by the Managementon recommendations suggested in the auditfindings.

• Reviewed follow-up reports by the internal auditorson BNM's examination findings and status of actionstaken by the Management on issues raised by BNM.

• Reviewed Management report on disciplinary casesof its employees.

• Reviewed Internal Audit Department's audit ratingmethodology in assessing and rating the risk levels ofthe various auditable areas and ensured that theaudit emphasis was given on high and critical risk areas.

• Monitored the progress of the Internal AuditDepartment in completing its audit within thestipulated timeframe.

• Reviewed the audited financial statements of theCompany prior to submission to the Board for theirconsideration and approval. The review was toensure that the audited financial statements weredrawn up in accordance with the provisions of theCompanies Act, 1965 and the applicable approvedaccounting standards approved by the MalaysianAccounting Standards Board (MASB).

• Reviewed the Company's compliance in particularthe quarterly and the year end financial statementswith the Listing Requirements of the KLSE, MASB andother relevant legal and regulatory requirements.

• Reviewed the quarterly unaudited financial resultsannouncements before recommending them forthe Board's approval.

• Reviewed the related party transactions enteredinto by the Group.

Internal Audit Function and Activities

The Internal Audit Department is independent of theactivities or operations of other operating units. Theprincipal role of the department is to undertakeindependent regular and systematic reviews of thesystems of internal controls so as to provide reasonableassurance that such systems continue to operatesatisfactorily and effectively. The internal auditpractices a risk-based approach in its audit plan andexamination. It is the responsibility of the Internal AuditDepartment to provide the Audit Committee withindependent and objective reports on the state ofinternal control of the various operating units within theGroup and the extent of compliance of the units withthe Group's established policies and procedures as wellas relevant statutory requirements.

Ringkasan aktiviti-aktiviti sepanjang tahun adalahseperti berikut:-• Menyediakan kaedah pengkadaran audit dalam

menilai dan mengkadar tahap risiko bahagianyang boleh diaudit untuk pertimbanganJawatankuasa Audit.

• Menyediakan rancangan audit tahunan untukpertimbangan Jawatankuasa Audit.

• Menjalankan audit untuk jabatan-jabatan,cawangan-cawangan, anak syarikat dan sebagainyaseperti yang ditetapkan di dalam Pelan Audit.

• Melakukan audit susulan bagi status tindakan yangtelah diambil oleh pihak Pengurusan mengenaicadangan yang dicadangkan di dalampenemuan audit oleh juruaudit dalaman, juruauditluar, pemeriksa BNM dan sebagainya.

• Menjalankan audit ad-hoc dan penyiasatan bagikes-kes khusus.

BIDANG TUGAS

Objektif

Tugas utama Jawatankuasa Audit adalah untukmembantu Lembaga Pengarah dalam memenuhiobjektif pengawasan dalam aktiviti Kumpulan seperti berikut:-

• Menilai proses Kumpulan berkaitan dengan risikodan kawalan persekitaran;

• Mengawasi laporan kewangan; and• Menilai proses audit dalaman dan luar.

Komposisi

Lembaga Pengarah harus memilih dan melantik ahliJawatankuasa dari kalangan mereka yang terdiri tidakkurang daripada tiga (3) orang Pengarah, dimanamajoriti daripada mereka hendaklah terdiri daripadaPengarah Bukan Eksekutif Bebas dimana sekurang-kurangnya seorang (1) ahli mestilah ahli InstitutAkauntan Malaysia atau mempunyai sekurang-kurangnya tiga (3) tahun pengalaman bekerja danlulus peperiksaan seperti yang ditetapkan dalamBahagian I Jadual I Akta Akauntan 1967; ataumerupakan ahli salah sebuah persatuan akauntanseperti yang ditetapkan dalam Bahagian II Jadual IAkta Akauntan 1967.

Lembaga Pengarah harus memenuhi kekosongandalam tempoh tiga (3) bulan selepas ahliJawatankuasa meletak jawatan, meninggal atau atasapa-apa sebab tidak menjadi ahli yangmenyebabkan jumlah ahli kurang daripada tiga (3) orang.

Pengerusi Jawatankuasa mestilah seorangPengarah Bukan Eksekutif Bebas. Tiada Pengarahgantian dari Lembaga Pengarah yang dilantik sebagaiahli Jawatankuasa Audit.

A summary of its activities for the year are as follows:-• Prepared audit rating methodology in assessing and

rating the risk levels of the various auditable areasfor Audit Committee's consideration.

• Prepared annual audit plan for Audit Committee'sconsideration.

• Conducted audits on departments, branches,subsidiary company, etc as set out in the Audit Plan.

• Conducted follow-up audit on status of actionstaken by the Management on recommendationssuggested in audit findings of internal auditors,external auditors, BNM examiners, etc.

• Conducted ad-hoc audits and investigations onspecial cases.

TERM OF REFERENCE

Objectives

The primary function of the Audit Committee is toassist the Board of Directors in fulfilling the followingoversight objectives on the Group activities:

• Assess the Group's processes relating to its risks andcontrol environment ;

• Oversee financial reporting; and• Evaluate the internal and external audit processes.

Composition

The Board shall elect and appoint Committeemembers from amongst their numbers, comprising nofewer than three (3) Directors, the majority of whomshall be Independent Non-Executive Directors of theCompany with at least one (1) member must be amember of MIA or have at least three (3) year's workingexperience and passed the examinations specified inPart I of the 1st Schedule of the Accountants Act 1967;or is a member of one (1) of the associations ofaccountants specified in Part II of the 1st Schedule ofthe Accountants Act 1967.

The Board shall within three (3) months after amember of the Committee resigns, dies or for anyreason ceases to be a member with the result that themember is reduced below three (3), to fill the vacancy.

The Chairman of the Committee shall be anIndependent Non-Executive Director. No alternateDirector of the Board shall be appointed as a memberof the Committee.

The Board shall review the terms of office of each ofits members at least once (1) every three (3) years.

Quorum and Committee's Procedures

Meetings shall be conducted at least four (4) timesannually, or more frequently as circumstances dictate.

In order to form a quorum for the meeting, themajority of the members present must be IndependentNon-Executive Directors. In absence of the Chairman,the members present shall elect a Chairman formeeting from amongst the members present.

Lembaga Pengarah harus mengkaji tempohmemegang jawatan setiap ahli sekurang-kurangnyasekali (1) setiap tiga (3) tahun.

Korum dan Prosedur Jawatankuasa

Mesyuarat hendaklah diadakan sekurang-kurangnya empat (4) kali setahun, atau lebih kerap jika perlu.

Dalam mewujudkan korum mesyuarat, majoriti ahliyang hadir mestilah Pengarah Bukan Eksekutif Bebas.Semasa ketiadaan Pengerusi, ahli yang hadirhendaklah melantik seorang Pengerusi bagi mesyuarattersebut daripada ahli yang hadir.

Setiausaha Jawatankuasa haruslah SetiausahaSyarikat. Setiausaha, bersama Pengerusi, akanmenyediakan agenda, yang akan diedarkan bersamakertas sokongan berkaitan, dalam tempoh yangsewajarnya kepada ahli Jawatankuasa sebelum setiapmesyuarat. Minit mesyuarat akan diedarkan kepadaahli Lembaga Pengarah.

Jawatankuasa ini boleh, apabila dianggap perlu,menjemput ahli-ahli Lembaga Pengarah yang lain danmeminta ahli-ahli Pengurusan Kanan untuk menghadirimesyuarat.

Jawatankuasa ini akan bermesyuarat sekurang-kurangnya sekali setahun dengan juruaudit luar untukmembincangkan apa-apa perkara denganJawatankuasa tanpa kehadiran sebarang ahli eksekutifLembaga Pengarah dan Pengurusan.

Jawatankuasa hendaklah mengatur prosidingmesyuarat, menurut konvensyen biasa mengenaiperkara tersebut.

Kuasa

Jawatankuasa ini diberi kuasa untuk menyiasatsebarang perkara dalam bidang tugasnya.

Jawatankuasa ini diberi kuasa untuk mencarisebarang maklumat yang diperlukan dari kakitangan,yang mana diperlukan untuk bekerjasama denganpermintaan dari Jawatankuasa.

Jawatankuasa ini akan mempunyai akses penuhdan tanpa batasan kepada sebarang maklumatberkaitan Kumpulan.

Jawatankuasa ini akan mempunyai salurankomunikasi langsung kepada juruaudit dalaman danjuruaudit luar dan dengan pengurusan kananKumpulan dan boleh mengadakan mesyuarat denganjuruaudit luar apabila perlu.

Jawatankuasa ini akan mempunyai akses kepadasebarang sumber yang diperlukan untuk menjalankantugasnya. Jawatankuasa ini boleh mendapatkansebarang nasihat perundangan atau nasihat profesionallain yang dianggap perlu, atas perbelanjaan Syarikat.

Bila Jawatankuasa berpendapat ada sebarangperkara yang dilaporkan oleh Jawatankuasa kepadaLembaga Pengarah yang masih belum diselesaikan

The Company Secretary shall be appointed as aSecretary of the Committee. The Secretary, inconjunction with the Chairman, shall draw up anagenda, which shall be circulated together withrelevant support papers, within reasonable time prior toeach meeting to the members of the Committee. Theminutes shall be circulated to members of theBoard.

The Committee may, as and when deemednecessary, invite other Board members and SeniorManagement members to attend the meetings.

The Committee shall meet at least once a year withthe external auditors to discuss any matter with theCommittee without the presence of any executivemember of the Board and Management.

The Committee shall regulate the manner ofproceedings of its meetings, having regard to normalconventions on such matter.

Authority

The Committee is authorised to investigate anymatter within its terms of reference.

The Committee is authorised to seek any informationit requires from employees, who are required tocooperate with any request made by the Committee.

The Committee shall have full and unlimited accessto any information pertaining to the Group.

The Committee shall have direct communicationchannels with the internal and external auditors andwith senior management of the Group and shall beable to convene meetings with the external auditorswhenever deemed necessary.

The Committee shall have the resources that arerequired to perform its duties. The Committee canobtain, at the expense of the Company, outside legalor other independent professional advice it considersnecessary.

Where the Committee is of the view that a matterreported by it to the Board has not been satisfactorilyresolved resulting in a breach of the KLSE ListingRequirements, the Committee shall promptly reportsuch matter to the KLSE.

Duties and Responsibilities

In fulfilling its primary objectives, the Committee shallundertake the following duties and responsibilities:-

• Review with the external auditor, the audit scopeand plan, including any changes to the plannedscope of the audit plan.

• Review the adequacy of the internal audit scopeand plan, functions and resources of the internalaudit function and that it has the necessaryauthority to carry out its work.

• Review the external and internal audit reports toensure that appropriate and prompt remedialaction is taken by Management on major

dengan memuaskan sehingga menyebabkan iamelanggar Syarat-syarat Penyenaraian BSKL,Jawatankuasa harus melaporkan dengan segeraperkara tersebut kepada BSKL.

Tugas dan Tanggungjawab

Dalam memenuhi objektif utamanya,Jawatankuasa ini akan menjalankan tugas-tugas dantanggungjawab berikut:-

• Mengkaji dengan juruaudit luar, skop danrancangan audit, termasuk sebarang perubahankepada skop rancangan audit yang dirancang.

• Mengkaji kecukupan skop dan rancangan auditdalam, fungsi-fungsi dan sumber audit dalam danmemastikan ianya mempunyai kuasa yangsepatutnya bagi menjalankan tugas.

• Mengkaji laporan audit dalaman dan luar bagimemastikan tindakan segera dan sepatutnyadiambil oleh pihak Pengurusan bagi kekuranganutama pengawalan atau prosedur yang telahdikenal pasti.

• Mengkaji penemuan audit utama dan maklumbalaspihak pengurusan sepanjang tahun denganPengurusan, juruaudit luar dan juruaudit dalaman,termasuk status cadangan audit yang terdahulu.

• Mengkaji bantuan yang diberi oleh kakitanganKumpulan kepada juruaudit, dan sebarangmasalah yang dihadapi dalam menjalankan kerjaaudit, termasuk sebarang sekatan dalam skopaktiviti atau akses kepada maklumat yang diperlukan.

• Mengkaji kebebasan dan objektif juruaudit luar dankhidmat mereka, termasuk khidmat bukan auditdan yuran profesional, untuk memastikan objektifdan nilai wang adalah seimbang.

• Mengkaji pelantikan dan prestasi, yuran audit dansebarang persoalan perletakan jawatan ataupemecatan juruaudit luar sebelum membericadangan kepada Lembaga Pengarah.

• Mengkaji Charter Audit Dalaman, belanjawan dankeperluan kakitangan Jabatan Audit Dalaman.

• Mengkaji kecukupan dan ketulusan sistem kawalandalaman, termasuk pengurusan risiko perusahaan,pengurusan sistem maklumat dan penilaianjuruaudit dalaman dan/ atau juruaudit luarberkenaan sistem tersebut.

• Mengarah dan di mana berkaitan mengawassebarang projek khas atau menyiasat jika perlu, danmengkaji laporan siasatan berkenaan sebarangpenyalahgunaan, penipuan dan kecurian yang besar.

• Mengkaji keputusan suku tahunan dan penyatakewangan akhir tahun, sebelum kelulusanLembaga Pengarah dengan menumputerutamanya kepada:-- perubahan dalam atau pelaksanaan perubahan

polisi perakaunan utama;- peristiwa ketara atau luar biasa; dan- pematuhan kepada piawaian perakaunan dan

undang-undang lain;• Mengkaji urusniaga pihak berkaitan dan situasi

konflik kepentingan yang mungkin timbul dalamSyarikat atau Kumpulan, termasuk sebarangurusniaga, prosedur atau persoalan yang timbulberkenaan ketulusan kendalian pihak Pengurusan.

• Sebarang aktiviti, yang di beri kuasa oleh LembagaPengarah.

• Review the Internal Audit Charter, budget andstaffing of the Internal Audit Department.

• Review the adequacy and integrity of internalcontrol system, including enterprise riskmanagement, management informationsystem, and the internal auditors' and/ or externalauditors' evaluation of the said systems.

• Direct and where appropriate supervise any specialprojects or investigation considered necessary, andreview investigation report on any majordefalcation, frauds and thefts.

• Review the quarterly results and the year endfinancial statements, prior to the approval by theBoard focussing particularly on:-- changes in or implementation of major

accounting policy changes;- significant or unusual events; and- compliance with accounting standards and other

legal requirements;• Review any related party transaction and conflict of

interest situation that may arise within the Companyor the Group, including any transaction, procedureor course of conduct that raises question onManagement integrity.

• Any other activities, as authorised by the Board.

Lembaga Pengarah

Lembaga Pengarah bermesyuarat setiap bulan seperti yang dijadualkan dan mengadakan mesyuarat tamba-han apabila perlu. Para Pengarah mempunyai sokongan pengalaman kerja yang luas dalam pelbagai bidang dan oleh itu akandan telah melaksanakan pertimbangan bebas ke atas isu-isu mengenai strategi, prestasi, sumber-sumber danpiawaian pengendalian.

Keseimbangan Lembaga Pengarah

Lembaga Pengarah kini dianggotai oleh sembilan (9) orang ahli yang terdiri daripada seorang (1) PengarahEksekutif dan lapan (8) Pengarah Bukan Eksekutif, dimana empat (4) daripada mereka adalah Pengarah Bebas.Keanggotaan ini adalah mematuhi Syarat-Syarat Penyenaraian BSKL Yang Disemak Semula yang memerlukan satupertiga (1/3) daripada para Pengarah Takaful Malaysia adalah Bukan Eksekutif Bebas.

Lembaga Pengarah yang mempunyai pelbagai latar belakang dan kepakaran khusus, membawa bersamamereka pengalaman dan kepakaran yang luas dalam bidang-bidang seperti perakaunan, insurans, perbankan,undang-undang dan pengurusan. Profil ahli Lembaga Pengarah dibentangkan di mukasurat 19 hingga 27 di dalamLaporan Tahunan.

Terdapat pembahagian yang jelas di antara tanggungjawab Pengerusi dan Ketua Pegawai Eksekutif bagimemastikan keseimbangan kuasa dan bidang kuasa.

Peranan Pengerusi dan Ketua Pegawai Eksekutif adalah jelas, di mana Pengerusi bertanggungjawabterhadap pengendalian Lembaga Pengarah dan menerajui perbincangan di peringkat Lembaga Pengarahsementara Ketua Pegawai Eksekutif bertanggungjawab terhadap pengurusan Syarikat dan pelaksanaan dasar danstrategi yang telah diluluskan oleh Lembaga Pengarah.

Semua jawatankuasa mempunyai bidang tugas bertulis dan Lembaga Pengarah menerima laporan bagi setiappersidangan dan pertimbangan jawatankuasa. Pengerusi bagi setiap jawatankuasa akan melaporkan keputusan mesyuarat yang dijalankan kepada Lembaga Pengarah dan laporan tersebut akan dimasukkan di dalamminit Mesyuarat Lembaga Pengarah.

Bekalan Maklumat

Lembaga Pengarah mempunyai masa yang penuh dan secukupnya kepada maklumat dengan kertasLembaga Pengarah diedarkan sebelum mesyuarat agar Pengarah boleh mendapatkan penjelasan lanjut, apabilaperlu, bagi mendapat penerangan sewajarnya sebelum mesyuarat. Kertas Lembaga Pengarah merangkumi minitmesyuarat yang lepas, minit mesyuarat semua Jawatankuasa Lembaga Pengarah dan laporan yang berkaitan isu-isu mesyuarat meliputi perkara-perkara strategik, kewangan, pelaburan, operasi dan perkara berkaitan pematuhanperaturan.

Semua ahli Lembaga Pengarah mempunyai akses yang tidak terhalang kepada maklumat yang menepati masadan tepat dan nasihat serta khidmat Setiausaha Syarikat yang bertanggungjawab untuk memastikan supayaprosedur mesyuarat Lembaga Pengarah diikuti dan semua syarat dan peraturan yang diterima pakai dipatuhi. ParaPengarah juga boleh mendapatkan nasihat bebas profesional dalam menjalankan tugas mereka, di bawahtanggungan Takaful Malaysia.

Pelantikan ke Lembaga Pengarah

Pelantikan ahli-ahli Lembaga Pengarah yang baru dipertimbang dan dinilai oleh Jawatankuasa Pemilihan danJawatankuasa tersebut akan mengesorkan pelantikan kepada Lembaga Pengarah untuk diluluskan. SetiausahaSyarikat akan memastikan bahawa semua pelantikan dilakukan dengan cara sewajarnya, semua maklumat yangdiperlukan diperolehi serta semua syarat perundangan dan peraturan dipenuhi.

Jawatankuasa Pemilihan

Jawatankuasa Pemilihan ditubuhkan pada 5 Februari, 2001 terdiri dari tiga (3) Pengarah Bukan Eksekutif dimanadua (2) daripada mereka adalah Pengarah Bebas. Pengerusi Jawatankuasa kini ialah Yg. Mulia Dato' Tengku Hassanb. Tengku Omar, yang merupakan Pengarah Bukan Eksekutif Bebas. Jawatankuasa Pemilihan telah bermesyuaratsebanyak tiga (3) kali pada tahun kewangan ini yang dihadiri oleh kesemua ahli.

Jawatankuasa Pemilihan ini diberikan kuasa oleh Lembaga Pengarah dan bidang tugasnya ialahmencadangkan kepada Lembaga Pengarah mengenai pelantikan ahli Lembaga Pengarah yang baru danmengkaji semula terma pelantikan ahli Lembaga Pengarah. Jawatankuasa Pemilihan menilai keberkesananLembaga Pengarah, Jawatankuasanya dan sumbangan setiap ahli Lembaga Pengarah.

Latihan Lembaga Pengarah

Semua ahli Lembaga Pengarah telah menghadiri Program Latihan Akreditasi Mandatori (MAP) yangdikendalikan oleh Research Institute of Investment Analysis Malaysia (RIIAM) seperti yang dikehendaki oleh BSKL. AhliLembaga Pengarah akan menjalani program latihan yang berkaitan untuk meningkatkan lagi kemahiran danpengetahuan di mana berkaitan.

Pemilihan Semula

Tataurusan Pertubuhan Syarikat memperuntukkan bagi semua Pengarah termasuk Ketua Pegawai Eksekutif untukmenawarkan diri mereka bagi pemilihan semula sekurang-kurangnya setiap tiga (3) tahun sekali selaras denganSyarat-Syarat Penyenaraian BSKL Yang Disemak Semula.

Bagi membantu para pemegang saham membuat keputusan, maklumat yang mencukupi seperti profilperibadi, kehadiran ke mesyuarat dan pegangan saham dalam Kumpulan bagi setiap Pengarah yang bersediauntuk pemilihan semula disediakan di dalam Penyata Yang Disertakan Bersama Notis kepada Mesyuarat AgungTahunan.

BAHAGIAN B: GANJARAN PENGARAH

Tahap dan Kandungan Ganjaran

Takaful Malaysia telah menerima pakai prinsip Kod untuk menentukan ganjaran bagi para Pengarah agarmemastikan Takaful Malaysia dapat menarik minat, mendorong dan mengekalkan para Pengarah yang diperlukan

untuk menguruskan Syarikat dengan berjaya. Dalam hal Pengarah Eksekutif, pakej ganjaran disusun denganmengaitkan imbuhan kepada prestasi korporat dan individu.

Prosedur

Jawatankuasa Ganjaran bertanggungjawab mengesyorkan rangka kerja ganjaran termasuklah pakej ganjaranbagi Pengarah Eksekutif kepada Lembaga Pengarah. Pengarah Eksekutif tidak terlibat dalam menentukanganjarannya sendiri. Lembaga Pengarah secara keseluruhan menentukan ganjaran bagi Pengarah Bukan Eksekutif.

Yuran Pengarah diluluskan oleh para pemegang saham di Mesyuarat Agung Tahunan.

Jawatankuasa Ganjaran

BAHAGIAN C: PEMEGANG SAHAM

Dialog antara Syarikat dan Pelabur

Takaful Malaysia mengakui kepentingan untuk sentiasa memaklumkan kepada para pemegang sahamberkenaan semua perkembangan utama Takaful Malaysia secara menepati masa.

Pengerusi mengadakan perbincangan dengan penganalisa dan pemegang saham sekurang-kurangnya sekalisetahun sejurus selepas Mesyuarat Agung Tahunan. Selain itu, laporan tahunan dan interim beserta dengan lain-lainmaklumat boleh didapati di www.takaful-malaysia.com. Pertanyaan akan dijawab oleh Unit Khidmat Pelanggan.

Mesyuarat Agung Tahunan

Mesyuarat Agung Tahunan ialah forum utama bagi dialog dengan pemegang saham individu. Selain dariagenda biasa untuk Mesyuarat Agung Tahunan, Lembaga Pengarah akan membentangkan kemajuan dan prestasiSyarikat seperti yang dinyatakan dalam Laporan Tahunan dan memberi peluang untuk pemegang sahammengemukakan soalan mengenai aktiviti perniagaan Syarikat.

Bagi pemilihan semula semua para Pengarah, Lembaga Pengarah akan memastikan maklumat sepenuhnyadimaklumkan menerusi notis mesyuarat berhubung dengan para Pengarah yang akan bersara dan yangmenawarkan diri berkhidmat sekiranya dipilih semula.

Setiap perkara urusan khas di dalam notis mesyuarat akan disusuli dengan kenyataan penerangan terhadapresolusi yang dicadangkan bagi memudahkan pemahaman sepenuhnya dan penilaian terhadap isu terbabit.

BAHAGIAN D: AKAUNTABILITI DAN AUDIT

Laporan Kewangan

Lembaga Pengarah bertanggungjawab memastikan penyata kewangan tahunan dan pengumuman sukutahunan kepada pemegang saham disediakan selaras dengan piawaian perakaunan yang diluluskan danmembentangkan penilaian yang seimbang dan menyeluruh mengenai kedudukan kewangan dan prospek Syarikat.Jawatankuasa Audit akan membantu Lembaga Pengarah bagi memastikan ketepatan dan kecukupan maklumatdengan mengkaji dan mencadangkan untuk digunapakai maklumat untuk didedahkan.

Penyataan oleh Para Pengarah lanjutan kepada seksyen 169 Akta Syarikat, 1965 dinyatakan di mukasurat 84 diLaporan Tahunan.

Kawalan Dalam

Penyata Kawalan Dalaman yang dibentangkan di muka surat 59 hingga 61 Laporan Tahunan ini untukmemberikan tinjauan menyeluruh mengenai kedudukan kawalan dalaman Kumpulan.

Hubungan dengan Juruaudit

Peranan Jawatankuasa Audit dinyatakan di muka surat 46 hingga 50. Melalui Jawatankuasa Audit LembagaPengarah, Syarikat telah mewujudkan hubungan yang telus dan sesuai dengan juruaudit Syarikat samada dalamandan luar. Jika dikehendaki, juruaudit luar akan dijemput menghadiri mesyuarat Jawatankuasa.

Penyata Pematuhan

Takaful Malaysia telah mematuhi semua Prinsip dan Amalan Terbaik Tadbir Urus Korporat seperti di Bahagian 2Kod sepanjang tahun berakhir 30 Jun 2002 kecuali seperti berikut:-

• Keperluan mewujudkan sebuah program orientasi dan pendidikan bagi Pengarah yang baru dilantik. Syarikattiada program latihan formal bagi Pengarah yang baru dilantik kerana telah menjadi polisi Syarikat untuk melan-tik ahli Lembaga Pengarah yang mempunyai kelayakan dan pengalaman yang sewajarnya bagi menjalankantanggungjawabnya sebagai seorang Pengarah. Lembaga Pengarah akan mengkaji keperluan bagi programlatihan formal dari masa ke semasa.

• Tiada mesyuarat Jawatankuasa Audit dengan juruaudit luar tanpa kehadiran Pengarah Eksekutif, diadakanpada tahun kewangan ini. Walau bagaimanapun, selepas berakhir tahun kewangan, Jawatankuasa Audit telahmengadakan satu (1) mesyuarat antara Jawatankuasa ini dan juruaudit luar tanpa kehadiran PengarahEksekutif.

The Board of Directors of Syarikat Takaful Malaysia Berhad ("Takaful Malaysia") is committed to achieve thehighest standard of corporate governance in the Group. Towards this end, the Board takes every step to ensure thatthe principles of Corporate Governance and best practices are observed and practised throughout the Group sothat the affairs of the Group are conducted with professionalism, accountability and integrity to protect andenhance shareholders' value and the financial performance of the Group.

With the implementation of the Malaysian Code of Corporate Governance ("the Code") and the new provisionsof the Revised Listing Requirements of the Kuala Lumpur Stock Exchange ("KLSE"), set out below is the statement onhow Takaful Malaysia has applied these principles and the compliance of the best practices in corporategovernance so far as is applicable:-

All Directors have the backing of extensive work experience in various fields and therefore can and do exerciseindependent judgement to bear on issues of strategy, performance, resources and standard of conduct.

Board Balance

The Board currently consist of nine (9) members, comprising one (1) Executive Director and eight (8) Non-ExecutiveDirectors, four (4) of whom are Independent. This is in compliance with the Revised KLSE Listing Requirements whichrequire that one third (1/3) of Directors of Takaful Malaysia be Independent Directors.

The Board with their different backgrounds and specialisations, collectively bring with them a wide range ofexperience and expertise in areas such as accounting, insurance, banking, legal and management. The profiles ofthe Directors are provided on page 19 to 27 of the Annual Report.

There is a clear division of responsibility between the Chairman and the Chief Executive Officer to ensure thatthere is a balance of power and authority.

The roles of the Chairman and Chief Executive Officer are clearly defined with the Chairman being responsiblefor running the Board and leads the discussion at the Board level whilst the Chief Executive Officer is responsible formanaging the Company as well as the implementation of the Board's policies and decisions.

Board Committee

The Board delegates certain responsibilities to the Board Committees, namely Audit Committee, NominationCommittee and Remuneration Committee in order to enhance business and operational efficacy.

All committees have written terms of reference and the Board receives reports of their proceedings anddeliberations. The Chairman of the various committees will report to the Board the outcome of their meetings andsuch reports are incorporated in the minutes of the Board meeting.

Supply of Information

The Board have full and timely access to information with Board papers distributed in advance of meetings toenable the Directors to obtain further explanation, where necessary, in order to be properly briefed before themeetings. The Board papers which include the minutes of previous Board meeting, minutes of meetings of allCommittees of the Board and reports relevant to the issues of the meetings covering the areas of strategic, financial,investment, operational and regulatory compliance matters.

All the Board members have unrestricted access to timely and accurate information and access to the adviceand services of the Company Secretary, who is responsible for ensuring that Board meeting procedures are followedand that all applicable rules and regulations are complied with. The Directors can also seek independentprofessional advice in furtherance of their duties, at Takaful Malaysia's expense.

Appointments to the Board

The appointment of new Board members are considered and evaluated by the Nomination Committee and theCommittee would recommend the appointments to the Board for approval. The Company Secretary will ensure thatall the appointments are properly made, all necessary information is obtained, as well as all legal and regulatoryrequirements are met.

Nomination Committee

The Nomination Committee was set up on 5 February, 2001 consisting of three (3) Non-Executive Directors, two (2)of whom are Independent. The current Chairman of the Committee is Yg. Mulia Dato' Tengku Hassan b. Tengku Omar,an Independent Non-Executive Director.

The Nomination Committee met three (3) times during the financial year which were attended by all members.

The Nomination Committee is empowered by the Board and its terms of reference are to bring to the Boardrecommendations as to the appointment of new Directors and keeps under review the terms of appointment ofDirectors. The Nomination Committee assessed the effectiveness of the Board, its Committees and the contribution ofeach individual Director.

Directors' Training

All Directors have attended the Mandatory Accreditation Programme (MAP) conducted by the Research Instituteof Investment Analysis Malaysia (RIIAM) as required by the KLSE. The Directors will undergo other relevant trainingprogrammes to further enhance their skills and knowledge where relevant.

Re-election

The Articles of Association provide for all Directors including the Chief Executive Officer to submit themselves forre-election at least every three (3) years in compliance with the Revised KLSE Listing Requirements.

To assist shareholders in their decision, sufficient information such as personal profile, meetings attendance andshareholding in the Group of each Director standing for re-election are furnished in the Statement Accompanying theNotice of the Annual General Meeting.

PART B: DIRECTORS REMUNERATION

Level and Make-up of Remuneration

Takaful Malaysia has adopted the principle of the Code to determine the remuneration for the Directors so as toensure that Takaful Malaysia attracts, motivates and retains the Directors needed to run it successfully. In the case ofExecutive Director, the remuneration package is structured to link rewards to corporate and individual performance.

Procedure

The Remuneration Committee is responsible in recommending the remuneration framework for the Directors aswell as the remuneration package of Executive Director to the Board. The Executive Director did not participate inany way in determining his individual remuneration. The Board as a whole determines the remuneration ofNon-Executive Directors.

Directors' fee are approved by the shareholders at the Annual General Meeting.

Remuneration Committee

The Remuneration Committee was established on 5 February, 2001 consisting of three (3) Non-Executive Directors,two (2) of whom are Independent. The current Chairman of the Committee is Tuan Hj. Taib b. Rasak, an IndependentNon-Executive Director.

The Remuneration committee met four (4) times during the financial year. The meetings were attended by allmembers of the Committee except for Yg. Bhg. Dato' Fadzil b. Yusoff who attended three (3) out of four (4) meetings.

PART C: SHAREHOLDERS

Dialogue between the Company and Investors

Takaful Malaysia recognises the importance to keep the shareholders well-informed of all major developments ofTakaful Malaysia on timely basis.

The Chairman holds discussions with analysts and shareholders at least once a year immediately after the AnnualGeneral Meeting. Additionally, annual and interim reports together with other information about the Company areavailable on www.takaful-malaysia.com. Queries will be answered by the Customer Services Unit.

The Annual General Meeting

The Annual General Meeting is the principal forum for dialogue with private shareholders. Besides the normalagenda for the Annual General Meeting, the Board presents the progress and performance of the business ascontained in the annual report and provides opportunities for shareholders to raise questions pertaining to thebusiness activities of the Company.

For re-election of Directors, the Board will ensure that full information is disclosed through the notice of meetingregarding Directors who are retiring and who are willing to serve if re-elected.

Each item of special business included in the notice of the meeting will be accompanied by an explanatorystatement for the proposed resolution to facilitate full understanding and evaluation of issues involved.

PART D: ACCOUNTABILITY AND AUDIT

Financial Reporting

The Board ensures that the annual financial statements and quarterly announcements to shareholders areprepared in accordance with approved accounting standards and present a balance and understandableassessment of the Company's position and prospects. The Audit Committee assist the Board in ensuring accuracy andadequacy of information by reviewing and recommending for adoption information for disclosure.

The Statement of Directors pursuant to section 169 of the Companies Act 1965 is set out on page 133 of this AnnualReport.

Internal Control

The Statement of Internal Control furnished on pages 59 to 61 on the Annual Report provides an overview of thestate of internal control within the Group.

Relationships with the Auditors

The role of the Audit Committee is as stated on pages 46 to 50. Through the Audit Committee of the Board, theCompany has established transparent and appropriate relationship with the Company's auditors, both internal andexternal. If required, the external auditors are invited to attend the meetings of the Committee.

Compliance Statement

Takaful Malaysia has complied throughout the year ended 30 June 2002 with all the Principles and Best Practicesof corporate governance set out in Part 2 of the Code except for the following:-

• The need for an orientation and education program for newly appointed Directors. The Company does not havea formal training programme for its new Directors as it is the Company's policy to appoint to the Board, individualof sufficient calibre and experience to carry out the necessary duties of a Director. The board will review thenecessity for formal training from time to time.

• There were no Audit Committee meetings with the external auditors without the presence of Executive Director,held during the financial year. However, subsequent to the end of the financial year, the Audit Committee hadone (1) meeting between the Committee and the external auditors without the presence of Executive Director.

This statement is made in accordance with the resolution of the Board of Directors dated 1 October 2002.

Introduction

The Malaysian Code on Corporate Governancerequires listed companies to maintain a sound system ofinternal control to safeguard shareholders' investmentsand the Group's assets. The Kuala Lumpur StockExchange's (KLSE) Revamped Listing Requirementsrequire Directors of listed companies to include in theannual reports a statement on the state of their internalcontrols. The KLSE's Statement on Internal Control:Guidance for Directors of Public Companies(Guidance) provides guidance for compliance withthese requirements. Set out below is the Board's InternalControl Statement, which has been prepared inaccordance with the Guidance.

Responsibility for Internal Control

The Board of Directors recognises the importance ofsound internal control and risk management practicesto good corporate governance. The Boardacknowledges its overall responsibility for maintainingthe Group's system of internal controls and riskmanagement, and for reviewing the effectiveness,adequacy and integrity of those systems. It should benoted, however that such system are designed tomanage rather than eliminate the risk of failure toachieve business objectives. In addition, it should benoted that any system can only provide reasonable,and not absolute, assurance against materialmisstatement or loss.

During the year under review, there is an ongoingprocess for identifying, evaluating and managing thesignificant risks faced by the Group.

The Board plans to develop a monitoring andreporting process to continuously evaluate and monitorthe significant risks in a formalised manner, which wouldentail establishing procedures for reporting andmonitoring of risk and controls.

These initiatives would ensure that the Group has inplace a formalised ongoing process for identifying,evaluating, monitoring and managing significant risksaffecting the achievement of its business objectives.

Key Processes

The key processes that the Board has established inreviewing the adequacy and integrity of the system ofinternal controls are as follows:-

• The Company has a well-defined organisationalstructure with clear lines of responsibility andaccountability.

• The departmental manuals set out policies andprocedures for day-to-day operations and act as aguidance to employees on necessary steps to betaken in a given set of circumstances. It alsospecifies relevant authority limits to be compliedwith. The Company was also awarded MS ISO9001:2000 for two (2) major processes i.e. CertificateIssuance and Claim Payments.

Kod Tadbir Urus Korporat Malaysia mengkehendakisyarikat tersenarai supaya mengekalkan satu sistemkawalan dalaman yang baik bagi melindungipelaburan para pemegang saham dan asetKumpulan. Syarat-syarat Penyenaraian Bursa SahamKuala Lumpur (BSKL) Yang Disemak Semula memerlukanpara Pengarah syarikat-syarikat yang disenaraikanmembentangkan kenyataan dalam laporan tahunanmasing-masing mengenai kedudukan kawalandalaman syarikat mereka. Penyata Kawalan DalamanBSKL: Garispanduan bagi Pengarah Syarikat Awam(Garis Panduan) menyediakan garis panduan tentangcara untuk mematuhi syarat-syarat tersebut. Berikutadalah Penyata Kawalan Dalaman LembagaPengarah, yang telah disediakan selaras dengan GarisPanduan.

Tanggungjawab bagi Kawalan Dalaman

Lembaga Pengarah menyedari kepentinganmewujudkan sistem kawalan dalaman dan amalanpengurusan risiko yang baik kepada tadbir uruskorporat yang baik. Lembaga Pengarah mengakuitanggungjawab keseluruhannya ke atas sistemkawalan dalaman dan pengurusan risiko Kumpulan,dan untuk mengkaji samada sistem tersebut berkesan,memadai dan berwibawa. Walau bagaimanapun,perlu dinyatakan di sini, sistem tersebut dirumus untukmengurus dan bukannya menghapuskan risikokegagalan bagi mencapai objektif perniagaan. Perlujuga dinyatakan bahawa sistem sedemikian hanyaboleh memberi jaminan yang berpatutan danbukannya mutlak, daripada sebarang salah nyata ataukerugian ketara.

Pada tahun yang dikaji, terdapat proses berterusanbagi mengenalpasti, menilai dan menguruskan risikopenting yang dihadapi oleh Kumpulan.

Lembaga Pengarah merancang bagimenghasilkan proses pemantauan dan laporan secaraberterusan bagi menilai dan memantau risiko utamasecara formal, seterusnya mewujudkan prosedurlaporan dan pemantauan risiko dan pengawasan.

Langkah ini akan memastikan supaya Kumpulanmempunyai satu proses formal yang berterusan untukmengenalpasti, menilai, memantau dan menguruskanrisiko penting yang memberi kesan kepadapencapaian objektif perniagaannya.

Proses-Proses Penting

Proses-proses penting yang Lembaga Pengarahtelah wujudkan dalam mengkaji kecukupan danketulusan sistem kawalan dalaman adalah sepertiberikut:-

• Syarikat mempunyai struktur organisasi yangjelas dengan garis tanggungjawab dankebertanggungjawapan yang nyata.

• The Company's Underwriting Guidelines for theGeneral Takaful and Family Takaful are in place tomanage risks that are being underwritten.

• The Company's annual business plan and budgetare submitted to the board for approval. In addition,variance between actual and budget are alsotabled to the Board on quarterly basis.

• Monthly performance reports are tabled to theBoard on a monthly basis.

• The Internal Audit Department which reportsdirectly to the Audit Committee performs regularreviews of the business operational process of theCompany via the audit of departments andbranches in an effort to assess the effectiveness,adequacy and integrity of internal controls and tohighlight significant risks faced by the Company andrecommend further improvement where necessary.The internal audit also adopts a risk-basedapproach in its audit plan and report the findingsbased on risk-based methodology accordingly.

• In monitoring the systems of internal control of itssubsidiary and associated companies, theCompany has representation of at least one (1)member on the board of the respective companies.Asean Retakaful International (L) Ltd also has its ownAudit Committee and Investment Committee whilstPT Syarikat Takaful Indonesia's Group has recentlyset-up its own Investment Committee and AuditCommittee.

• Every employee of the Company is required toobserve prescribed standards of business ethics inthe manner of conducting themselves at work andtheir relationships with external parties such astakaful Participants. The Company expects eachemployee to conduct him/ herself with integrity andobjectivity and not to place him/ herself in a positionof conflict of interest. The competence of staff ismaintained through a structured recruitmentprocess, a performance appraisal system and awide variety of training and developmentprogrammes.

Committees Established by the Board

Audit CommitteeThe Audit Committee comprises four (4)

Non-Executive Directors, out of which three (3) areIndependent Directors. Since November 2001, the AuditCommittee meet monthly to discuss and deliberate onreports by the internal auditors as well as reports fromthird parties such as Bank Negara Malaysia and externalauditors and in the process, reviews and gauges theeffectiveness and adequacy of the system of internalcontrols. Appropriate recommendations forimprovement are made to the Board forapproval.

Management CommitteeThe Management Committee which consists of the

Chief Executive Officer and six (6) Divisional General

• Laporan prestasi bulanan dibentangkan kepadaLembaga Pengarah secara bulanan.

• Jabatan Audit Dalaman yang melapor teruskepada Jawatankuasa Audit mengkaji prosesperniagaan Syarikat secara berterusan melaluipengauditan ke atas jabatan-jabatan dancawangan-cawangan dalam usaha untuk menilaiberkesanan, kecukupan dan integriti kawalandalaman dan untuk menonjolkan risiko-risikopenting yang dihadapi oleh Syarikat danmencadangkan penambahbaikan dimana perlu.Audit Dalaman juga menggunakan dasar-risikodalam pelan audit dan melaporkan penemuanberdasarkan perkaedahan dasar-risiko.

• Bagi memantau sistem kawalan dalaman anak-anak syarikat dan syarikat-syarikat bersekutu,Syarikat diwakili oleh sekurang-kurangnya seorang(1) ahli dalam Lembaga Pengarah syarikat-syarikattersebut. Asean Retakaful International (L) Ltdmempunyai Jawatankuasa Audit danJawatankuasa Pelaburannya sendiri manakalaKumpulan PT Syarikat Takaful Indonesia telahmenubuhkan Jawatankuasa Pelaburan danJawatankuasa Auditnya baru-baru ini.

• Setiap kakitangan Syarikat dikehendaki mematuhipiawaian yang ditetapkan bagi etika perniagaanmengendalikan diri sewaktu bekerja dan hubungandengan pihak luaran seperti Peserta-pesertatakaful. Syarikat mengharap setiap kakitanganmengendalikan dirinya secara berhemah danobjektif dan tidak meletakkan dirinya dalamkeadaan percanggahan kepentingan. Kecekapankakitangan dipastikan melalui proses pengambilanberstruktur, sistem penilaian prestasi dan pelbagaijenis latihan dan juga program pembangunan.

IT Security CommitteeThe IT Security Committee which comprises the

relevant General Managers and DepartmentalManagers meet on a monthly basis to discuss issuerelating to IT Security.

The Board believes that the development of theinternal control system is an ongoing process and hastaken steps to review and improve its internal controlsystem and will continue to do so in accordance withStatement on Internal Controls: Guidance for Directorsof Public Listed Companies, to ensure continuedeffectiveness of the system.

Menurut Akta Syarikat, 1965 Lembaga Pengarah perlu menyediakan penyata kewangan bagi setiap tahun

kewangan yang memberi gambaran yang benar dan saksama mengenai keadaan urusan Syarikat pada akhir

tahun kewangan dan penyata hasil dan aliran tunai Syarikat untuk tahun kewangan.

Para Pengarah memberi pertimbangan mengenai penyediaan penyata kewangan Syarikat bagi tahun berakhir

30 Jun 2002, menggunakan dasar perakaunan yang sesuai, dan digunakan secara konsisten dan disokong oleh

pertimbangan dan anggaran yang wajar dan cermat. Para Pengarah juga memberi pertimbangan kesemua

piawaian perakaunan yang berkaitan dituruti dan mengesahkan penyata kewangan disediakan mengikut dasar

perniagaan masih berjalan.

Para Pengarah bertanggungjawab memastikan Syarikat mengekalkan rekod perakaunan yang secukupnya

yang dapat mendedahkan ketepatan yang munasabah mengenai kedudukan kewangan Syarikat dan

membolehkan mereka memastikan penyata kewangan mematuhi keperluan Akta Syarikat, 1965.

Statement Of Directors ResponsibilitiesIn Relation To Financial Statements

The Directors are required by the Companies Act, 1965 to prepare financial statements for each financial year

which give a true and fair view of the state of affairs of the Company as at the end of the financial year and of the

income statement and cash flows of the Company for the financial year.

The Directors consider that, in preparing the financial statements of the Company for the year ended 30 June

2002, the Company have used appropriate accounting policies, consistently applied and supported by reasonable

and prudent judgements and estimates. The Directors have also considered that all applicable accounting standards

have been followed and confirm that the financial statements have been prepared on the going concern basis.

The Directors are responsible for ensuring that the Company maintains adequate accounting records which

disclose with reasonable accuracy the financial position of the Company to enable them to ensure that the

financial statements comply with the requirements of the Companies Act, 1965.

The Directors have also general responsibilities for taking such steps as are reasonably open to them to safeguard

the assets of the Company.

Dalam tahun kewangan yang dikaji,kelembapan ekonomi sejagat yang berterusandan peristiwa 11 September memberi kesansecara langsung kepada industri insurans dantakaful di seluruh dunia. Namun demikian, TakafulMalaysia masih mampu mencatatkan kenaikan 36peratus untuk kedua-dua jenis perniagaan TakafulKeluarga dan Takaful Am, tanpa mengambilkirapotfolio anuiti KWSP yang telah ditarikbalikpelaksanaannya mulai Julai 2001. Atas hakikat ini,kami optimistik sektor takaful di Malaysia akanberjaya mencapai sasaran Pelan Induk SektorKewangan menguasai 20 peratus pasaran industriinsurans pada 2010.

PERNIAGAAN TAKAFUL AM

Kumpulanwang Takaful AmDi bawah Perniagaan Am, kami telah

melancarkan "Skim Takaful Baitul Sa'adah", satuskim yang menyediakan manfaat kewangan jikaberlaku kehilangan atau kerosakan ke atas rumahdesa di kawasan luar bandar dan desadisebabkan oleh kebakaran atau musibah lainyang berkaitan.

Selaras dengan amalan dasar perakaunantunai kami, amaun bersih sebenar sumbangantakaful yang diterima di bawah PerniagaanTakaful Am meningkat sebanyak 31 peratuskepada RM196,416,677 daripada RM150,005,039pada 2001. Menyedari akan betapa pentingnyapotfolio yang seimbang, sukacita dimaklumkanbahawa sektor bukan motor yang rendah nisbahtuntutannya telah menambah komposisinya,kepada 74 peratus daripada keseluruhan jumlahkasar sumbangan takaful.

Selepas diambilkira semua kos takaful semula,jumlah bersih sebenar sumbangan takaful tinggalRM130,266,716 berbanding dengan RM108,430,327pada 2001. Despite thesechallenges, Takaful Malaysia still managed torecord yet another year of satisfactory growth of36 per cent for both Family and General Takafulbusinesses, excluding the EPF annuity portfoliowhich ceased in July 2001. On this note, we areoptimistic that the Malaysian takaful sector is onthe right track towards achieving the FinancialSector Master Plan's target for the takaful sector tocontrol 20 per cent market share of the insuranceindustry by 2010.

GENERAL TAKAFUL BUSINESS

General Takaful FundUnder the General Business, we have launched

"Skim Takaful Baitul Sa'adah," a scheme thatprovides cash benefit in the event of a loss ordamage to a private dwelling in suburban andrural areas caused by fire or related events.

In line with our adoption of the cashaccounting policy, the actual net total takafulcontributions collected under the General TakafulBusiness increased 31 per cent to RM196,416,677from RM150,005,039 in 2001. Mindful of theimportance of maintaining a balanced portfolio,we are pleased to note the relatively low claim forthe non-motor sector which increased itscomposition to 74 per cent of the actual total grosstakaful contributions.

After deducting costs of retakaful, the result is anet contribution of RM130,266,716 compared withRM108,430,327 in 2001. Nonetheless, after debitingother takaful expenses comprising mainly claimspaid and outstanding, additional provision in thereserve for the unearned takaful contributions, aswell as increase in the general reserve, the GeneralTakaful Fund recorded a 10 per cent increase inunderwriting profit of RM72,090,856 fromRM65,393,619 in 2001.

Walau bagaimanapun, pulangan bersihsebenar hasil pelaburan menurun kepadaRM3,789,809 berbanding RM6,866,618 pada 2001,selepas ditambah peruntukan terutamanyadisebabkan oleh hapuskira bon Islam. Namun,jumlah perolehan keuntungan Perniagaan TakafulAm pada akhir tahun masih meningkat sebanyakRM75,880,665 daripada RM72,260,237 pada 2001.

Kami telah memperuntukkan dalam tahunsebelum ini sejumlah RM25,512,404 dariKumpulanwang Takaful Am sebagai amaunsusutnilai saham dan amanah saham. Sebagaihasil pemulihan sedikit pasaran saham danlangkah potong kerugian serta strategi tukaranpotfolio, kami berhasil mempertingkatkan nilaikeseluruhan pelaburan saham danamanah saham, memperlihatkan penguranganperuntukan susustnilai saham kepadaRM18,667,256.

Keuntungan kepada PesertaSeperti yang dinyatakan dalam prinsip

berkongsi untung mengikut kontrakal-Mudharabah antara Takaful Malaysia sebagaipengendali atau usahawan, dengan Peserta-peserta, sebagai penyumbang modal, sejumlahRM29,939,064 daripada jumlah keuntungan di atastelah dipindahkan ke dalam akaun keuntunganyang boleh diagihkan kepada Peserta-pesertaberbanding RM31,823,023 pada 2001. Daripadaakaun ini, keuntungan sebenar kemudiannyadiagihkan kepada Peserta-peserta yang berhakmemperolehinya apabila sijil takaful masing-masing tamat. Keuntungan sebenar yang dibayarkepada Peserta-peserta adalah mengikut kadaruntung semasa setiap bulan daripada 34 peratuskepada 36 peratus setahun ke atas amaun asalsumbangan takaful yang diterima.

Dalam tahun kewangan yang dikaji, sejumlahRM30,608,032 dari keuntungan tersebut telahdibayar kepada Peserta-peserta yang berhak.

PERNIAGAAN TAKAFUL KELUARGA

Kumpulanwang Takaful KeluargaSelangkah dengan iltizam kami untuk

menyediakan khidmat takaful dan memupukdisiplin menabung dikalangan masyarakat, kamimemperkenalkan "Pelan Takaful Wiladah", pelantakaful yang menyediakan program tabunganjangkapanjang jika berlakunya komplikasi waktuhamil, kelahiran atau anak cacat. Pelan tersebutjuga menyediakan serta manfaat kewangansekiranya berlaku kematian ibu dan juga anak.

In contrast, the actual net gain on investmentsdecreased to RM3,789,809 from RM6,866,618 in2001, after additional provision was set asidemainly due to non-performance of Islamic bonds.Thus, total profit recorded by the General TakafulBusiness increased slightly to RM75,880,665 fromRM72,260,237 in 2001.

We have set aside in the previous year a sum ofRM25,512,404 from the General Takaful Fund asprovision for diminution in value of quoted sharesand unit trusts. However, the slight recovery of theequity market coupled with our adoption of losscutting and portfolio switching strategies, wemanaged to improve the overall market value ofour investments in both the quoted shares and unittrusts, which saw a reduction in the diminution ofvalue to RM18,667,256.

Profits to ParticipantsAs underlined the principle of profit sharing

contract of al Mudharabah between TakafulMalaysia, as the operator or entrepreneur, and theParticipants, as providers of fund or capital, a sumof RM29,939,064 of the total profit was transferredinto the account of profit attributable toParticipants compared with RM31,823,023 in 2001.It is from this account that actual profit weredistributed to the Participants who were entitled tosuch profits upon expiry of the relevant takafulcontracts. Actual profits paid to Participants werebased on the current monthly rates of profit whichranged from 34 to 36 per cent per annum of theamount of takaful contributions collected.

During the financial year under review, a totalsum of RM30,608,032 of such profit had beenactually paid out to entitled Participants.

FAMILY TAKAFUL BUSINESS

Family Takaful FundIn line with our commitment to provide takaful

yang boleh dibaharui secara tahunan, makaKumpulanwang Takaful Keluarga dibahagikankepada dua sektor: Sektor Individu dan SektorBerkelompok. Sektor Individu merangkumi semuaproduk dengan tempoh matang 10, 15, 20, 25, 30,35 dan 40 tahun, termasuk Pelan Takaful Gadaijanjidan Pelan Takaful Untuk Pelajaran yang bolehdisertai oleh individu sahaja. Sementara itu, SektorBerkelompok merangkumi semua produkberkelompok termasuk Pelan Takaful KeluargaBerkelompok dan Pelan Takaful RawatBerkelompok yang boleh disertai oleh badankorporat sahaja; Pelan Takaful Hawa (pelanmanfaat tunai bagi wanita yang mengidapkanser) serta kontrak-kontrak sampingan yangdigabung dan diendoskan kepada pelan takafulindividu dan Takaful Rawat (Pelan Kesihatan danMedikal), adalah disatukan di bawah SektorBerkelompok.

Walau bagaimanapun, disebabkan olehpenarikan pelaksanaan skim anuiti KWSP (SATK)mulai Julai 2001, jumlah kasar sebenar caruman/sumbangan takaful yang diterima oleh kedua-duaSektor termasuk SATK menurun kepadaRM278,686,291 daripada RM563,572,408 pada2001. Tetapi tanpa SATK, jumlah caruman/sumbangan mencatat peningkatan 40 peratuskepada RM280,688,772 daripada RM200,016,400pada 2001.

Sektor IndividuPada permulaan tahun kewangan yang dikaji,

kumpulanwang bagi Sektor Individu dibukadengan baki RM904,723,487. Berdasarkan objektifkorporat Takaful Malaysia untuk memperhebatkanpertumbuhan Sektor ini, prestasi Perniagaan Baruterus menunjukkan kenaikan pesat. Bilangan sijil dibawah Perniagaan Baru bertambah kepada144,617 atau meningkat sebanyak 29 peratusdaripada 112,162 pada 2001.

Seiring dengan arus pertumbuhan yangberterusan, sejumlah RM221,952,205 caruman/sumbangan takaful kasar sebenar telah dikutipsepanjang tahun yang dikaji. Berbanding denganangka RM167,400,111 (tidak termasuk RM363,556,008dari SATK) dalam tahun sebelumnya, inimenunjukkan peningkatan sebanyak 33 peratus.Daripada jumlah ini, RM143,576,651 atau 89peratus dihasilkan daripada Perniagaan Baru.Selepas ditolak bayaran urusan takaful semula,tuntutan yang telah dibayar dan tertunggak,pengembalian wang, serahan sijil danpengeluaran sebahagian, caruman/sumbangantakaful bersih Sektor Individu ini dipegangsebanyak RM154,975,289 daripada RM492,959,282pada 2001.

Akaun Peserta yang pada asasnya adalahdana tabungan dan pelaburan wangcaruman/sumbangan takaful Peserta merangkumi70 peratus baki bersih Sektor ini. Sementara 30peratus selebihnya adalah untuk Akaun KhasPeserta yang menanggung liabiliti kemortalanKumpulanwang Takaful Keluarga jika ditakdirkan

With the difference in the accountingtreatment between the long-term and annuallyrenewable family products, the Family Takaful Fundis segmented into two sectors, namely theIndividual and Group Sectors. The Individual Sectorconsists of all products with maturity periods of 10,15, 20, 25, 30, 35 and 40 years, as well as TakafulMortgage Plan and Takaful Plan For Education, allof which may essentially be participated byindividuals. On the other hand, the Group Sectorcomprises all group products including GroupFamily Takaful Plan and Group Medical Takaful,which may be participated by corporate bodiesonly; Takaful Hawa Plan (cash benefit plan forwomen diagnosed with cancer) as well as thesupplementary contracts attached and endorsedto the individual plans; and the Takaful Rawat(Medical and Health Plan) are managed under theGroup Sector.

However, due to suspension of the EmployeesProvident Fund (EPF) annuity scheme (SATK) in July2001, the actual total gross takafulinstalments/contributions received under bothSectors including SATK reduced substantially toRM278,686,291 from RM563,572,408 in 2001.However, should SATK be excluded, the totalinstalments/contributions recorded a 40 per centincrease to RM280,688,772 from RM200,016,400 in2001.

Individual SectorThe fund for the Individual Sector commenced

with the opening balance of RM904,723,487 at thebeginning of the financial year under review. Withthe corporate policy of Takaful Malaysia to boostthe development of this Sector, the New Businesshad accelerated further in its growth. The numberof Certificates for New Business issued during theyear rose 29 per cent to 144,617 from 112,162 in2001.

Pulangan pelaburan pula bagi Sektor ini,meningkat kepada RM45,276,511 berbandingRM23,331,178 pada 2001. Selepas ditolakbahagian untung yang diperuntukkan kepadakami di bawah kontrak perkongsian al-Mudharabahsejumlah RM10,924,151, Sektor ini membantumenjana ke arah pertumbuhan positifKumpulanwang Takaful Keluarga, yang ditutuppada RM1,126,126,089 atau lonjakan 20 peratusdaripada angka penutup RM941,110,286 pada2001.

Sama seperti peruntukan yang dibuat untukKumpulanwang Takaful Am, kami juga telahmembuat peruntukan sebanyak RM36,386,799 keatas susutnilai saham dan amanah saham dibawah Kumpulanwang Takaful Keluarga. Walaubagaimanapun, nilai keseluruhan pasaran dalampelaburan saham dan amanah saham telahmeningkat mengakibatkan kurangan dalamperuntukan sebanyak RM10,289,663. Oleh yangdemikian, baki penutup Kumpulanwang TakafulKeluarga telah meningkat kepadaRM1,102,917,670 pada tahun yang dikaji. Disebalikperuntukan tersebut, baki penutup masihmenunjukkan peningkatan sebanyak 22 peratusberbanding baki pada tahun lepas iaituRM904,723,487.

Penilaian statutori yang dibuat ke atas AkaunKhas Peserta di bawah Sektor Individu telahmenunjukkan lebihan aset keatas liabiliti kepadaRM14,758,881 berbanding RM4,896,552 pada 2001,terutamanya disebabkan oleh penurunanperuntukan susutnilai saham dan amanah saham.

Sektor BerkelompokDi bawah Sektor Berkelompok, jumlah kasar

sebenar sumbangan takaful yang diterima dalamtahun yang dikaji melonjak kepada RM58,736,567,merupakan pertambahan 80 peratus berbandingRM32,616,289 pada 2001. Selepas mengambilkirabelanja kendalian takaful membabitkan kos-kostakaful semula, tuntutan yang telah dibayar dantertunggak, pertambahan rezab bagi sumbangantakaful yang belum diperolehi serta peruntukanrezab am tambahan maka Sektor ini mencatatuntung penanggungan berjumlah RM17,614,099berbanding RM11,143,003 pada 2001.

Laba Sektor ini bertambah setelah dicampurperolehan pelaburan sebanyak RM2,199,060, yangdemikian, untung keseluruhan Sektor ini menokokkepada RM19,813,159 daripada RM12,979,460pada 2001.

Dalam tahun lalu, di bawah SektorBerkelompok, Takaful Malaysia telahmengenepikan sebanyak RM2,149,143 sebagaiperuntukan susutnilai saham dan amanah saham.Disebabkan pasaran saham pulih sedikit,peruntukan berkurangan sebanyak RM855,246.

From thisamount, RM143,576,651 or 89 per cent had beengenerated from New Business. After chargingexpenses of retakaful, claims paid andoutstanding, refunds, surrenders and part-with-drawals, the net retained instalments/contributionsregistered by the Individual Sector stood atRM154,975,289 from RM492,959,282 in 2001.

The Participants' Accounts which form the coresavings and investments portion of the takafulinstalments/contributions of the Participants,constitute 70 per cent of the net balance of thisSector. The remaining 30 per cent was attributed tothe Participants' Special Accounts which assumedthe mortality liability of the Family Takaful Fundshould Participants pass away prematurely.

Investment returns for this Sector during thesame period improved to RM45,276,511 comparedto RM23,331,178 in 2001. After deducting our shareof the al-Mudharabah profit of RM10,924,151, theSector contributed positvely to the growth of theFamily Takaful Fund, closing at RM1,126,126,089 ora growth of 20 per cent from a closing balance ofRM941,110,286 in 2001.

Similar to the provision made in respect of theGeneral Takaful Fund, we had also set asideRM36,386,799 for the diminution in value of quotedshares and unit trusts transacted under the FamilyTakaful Fund. Subsequently, our overall marketvalue of holdings in quoted shares as well as unittrusts increased in value that resulted in a reductionin provision of RM10,289,663. Therefore, the netbalance of the Family Takaful Fund was increasedto RM1,102,917,670 in the year under review.Despite the provision, the closing balance is stillhigher by 22 per cent over the previous year's bal-ance of RM904,723,487.

The statutory valuation undertaken for theParticipants' Special Accounts under this Sectorhad shown an increase in the surplus of assets overliabilities of RM14,758,881 from RM4,896,552 in 2001,mainly attributed to the reduction in provisions fordiminution in value of quoted shares and unit trusts.

Group SectorThe actual gross takaful contributions from the

Group Sector increased by 80 per cent toRM58,736,567 during the year under review fromRM32,616,289 in 2001. Accounting for expensescomprising mainly retakaful, claims paid andincurred, increase in reserve for unexpired takafulcontributions, as well as additional amount in thegeneral reserve, this Sector recorded anunderwriting gain of RM17,614,099, in contrast toRM11,143,003 in 2001.

The additional gain helped to further enhancethe total income of this Sector with profit from

Keuntungan kepada PesertaDi bawah Sektor Individu, sejumlah

RM31,431,971 termasuk RM11,434,770 bahagiankeuntungan SATK telah dipindahkan ke dalamakaun yang boleh diagihkan kepada Peserta-peserta dalam tahun yang dikaji, sebagaimanayang diperuntukkan di bawah perjanjian berkongsiuntung mengikut kontrak al-Mudharabah. Angkayang dipindahkan tahun sebelumnya adalahRM17,077,793. Daripada akaun inilah keuntungansebenar dikreditkan ke dalam setiap AkaunPeserta pada tiap-tiap tahun. Mencerminkansenario kelembapan aktiviti pelaburan, kadaruntung yang diisytiharkan kepada Peserta bagitahun yang dikaji adalah 2.45 peratus setahun.

Begitu juga berpandukan perjanjian yangsama, Takaful Malaysia telah memindahkansejumlah RM8,431,061 ke dalam akaun untungyang boleh diagihkan kepada Peserta-peserta dibawah Sektor Berkelompok. Amaun yang telahdipindah tahun sebelumnya adalah RM6,076,894.Juga daripada akaun inilah, keuntungan sebenardibayar kepada Peserta-peserta berasaskansyarat - sya rat dan peratu ran-peratu ranpenyertaan apabila Sijil Takaful masing-masinggenap tempohnya.

Kadar untung pula berbeza dari satu bulan kesatu bulan dalam lingkungan daripada 26 peratussetahun kepada 28 peratus setahun. Jumlahuntung yang telah dibayar dalam tahun yangdikaji adalah RM1,942,165, berbandingRM1,577,283 pada 2001.

PENCAPAIAN SYARIKAT

Pada dasarnya ada tiga sumber utamapendapatan kepada Takaful Malaysia iaitupulangan pelaburan Kumpulanwang PemegangSaham sendiri dan juga bahagian untung khususkepada kami sebagai balasan ke atas khidmatpengurusannya dalam Perniagaan Takaful Amdan Perniagaan Takaful Keluarga sebagaimanayang dimeterikan di bawah kontrak berkongsiuntung mengikut prinsip al-Mudharabah.

Wajar dijelaskan bahawa mengikut amalanumum bagi mana-mana transaksi kontrakal-Mudharabah, belanja kendalian pengurusankami tidak ditanggung oleh KumpulanwangTakaful yang berkaitan. Ini bermakna, belanjatersebut tidak dibeban kepada Peserta-peserta;sebaliknya ditanggung sepenuhnya olehKumpulanwang Pemegang Saham.

Keseluruhan aset bersih bagi ketiga-tigaKumpulanwang Takaful Am, KumpulanwangTakaful Keluarga dan Kumpulanwang PemegangSaham telah melonjak sebanyak 20 peratusk e p a d a R M 1 , 4 3 5 , 3 4 6 , 4 2 9 d a r i p a d aRM1,200,750,815 pada 2001.

Namun demikian, disebabkan baki peruntukansusutnilai saham dan amanah saham masih kenadiketepikan bagi kedua-dua Kumpulanwang

investment totalling RM2,199,060, the total profit forthe Group Sector jumped to RM19,813,159 incomparison with RM12,979,460 in 2001.

In the previous year, the Group Sector had alsoset aside a sum of RM2,149,143 as provision fordiminution in value of quoted shares and unit trusts.With better outlook in the equity market, areduction in provision had been made amountingto RM855,246.

Profits to ParticipantsFor the Individual Sector, a sum of RM31,431,971

inclusive of the SATK portion of RM11,434,770 wastransferred into the account of profit attributable toParticipants during the year under review, inaccordance with the profit-sharing contract ofal-Mudharabah. The figure transferred previouslywas RM17,077,793. From this account, actualprofits were then credited into the respectiveParticipant's Account annually. The rate of profitdeclared to Participants for the year was 2.45 percent per annum, reflecting the subdued climate ofinvestment activities.

In the same manner, we had also transferredRM8,431,061 into the account of profit attributableto Participants under the Group Sector. Theamount transferred previously was RM6,076,894.From this account too, actual profits weredistributed to Participants, in accordance with theterms and conditions of the Takaful Certificatesupon expiry of the takaful period.

The rates of profit fluctuated from month tomonth ranging from 26 per cent to 28 per cent perannum. Total profit paid-out during the year wasRM1,942,165, against RM1,577,283 in 2001.

COMPANY'S PERFORMANCE

Basically, there are three main sources ofincome of Takaful Malaysia, returns on theinvestment of our Shareholders' Fund, and ourshares of profit for managing both the GeneralTakaful Business and the Family Takaful Business,which are in accordance with the principle of theprofit-sharing contract of al-Mudharabah.

Takaful Am dan Kumpulanwang Takaful Keluarga,baki keseluruhan aset bersih untuk ketiga-tigaKumpulanwang tersebut adalah RM1,378,360,163.Walau bagaimanapun, di sebalik susutnilai ini,angka tersebut masih menunjukkan kenaikan 23peratus berbanding dengan angkaRM1,121,633,108 pada tahun sebelumnya.

Dari aspek pelaburan pula, KumpulanwangPemegang Saham kami telah mencatatpendapatan bersih sebanyak RM7,445,543 ataumeningkat 733 peratus daripada RM894,355 padatahun sebelumnya disebabkan terutamanya olehkira pulih bagi peruntukan susutnilai saham danamanah saham yang berjumlah RM4,344,309berbanding peruntukan tambahan RM5,289,242pada tahun sebelumnya.

Bahagian untung yang dipindahkan kepadakami dari Kumpulanwang Takaful Am meningkatkepada RM42,116,363 dalam tahun yang dikaji,memperlihatkan pertambahan 5 peratusberbanding tahun sebelumnya. Bahagian untungdari Sektor Individu Kumpulanwang TakafulKeluarga melonjak kepada RM10,924,151berbanding RM6,223,551 pada 2001. Sementarabahagian untung dari Sektor Berkelompokmenambah kepada RM10,489,855 daripadaRM6,902,566 pada 2001.

Selain daripada itu, perolehan pendapatan keatas urusniaga takaful semula yang diterima olehTakaful Malaysia di bawah Perniagaan Takaful Am,meskipun masih kecil, telah menyumbangsebanyak RM566,823 kepada keseluruhanpendapatan kami.

Secara keseluruhannya jumlah kesemuapendapatan kami dalam tahun yang dikaji telahmeningkat 31 peratus kepada RM71,542,735daripada angka RM54,457,686 pada 2001.

Sebagai tanda pemulihan keseluruhanpasaran saham pada akhir tahun yang dikaji, kamitelah mengira pulih peruntukan susutnilai sahamdan amanah saham yang ditanggung olehKumpulanwang Pemegang Saham sebanyakRM4,344,309.

Setelah mengambilkira belanja kendalianpengurusan sebanyak RM57,439,305, kamimencatat keuntungan sebelum zakat dan cukaiberjumlah RM14,103,430 untuk tahun kewanganyang dikaji. Angka ini menandakan peningkatan109 peratus daripada keuntungan RM6,735,334yang dicatat dalam tahun sebelumnya.

Setelah mengambilkira bayaran zakatberjumlah RM966,856 dan peruntukan cukaisebanyak RM1,148,258, keuntungan bersih kamiadalah sebanyak RM11,988,316 berbandingRM3,696,279 pada 2001. Dengan baki keuntunganterkumpul sebanyak RM34,319,304 yang dibawakehadapan dari tahun lalu, keuntungan terkumpulyang disimpan bertambah kepada RM43,337,620.

Perhaps, it is worth noting that under ourtakaful operations which is based on theprofit-sharing principle of al-Mudharabah, ourmanagement and operating expenses are notborne by the respective Takaful Funds. In otherwords, these expenses are not financed by theParticipants; instead they are entirely charged tothe Shareholders' Fund.

The combined total net assets of the GeneralTakaful Fund, the Family Takaful Fund and theShareholders' Fund increased 20 per centto RM1,435,346,429 from RM1,200,750,815 in2001.

However, with the balance of the provisions fordiminution in the value of quoted shares and unittrusts set aside for both the General Takaful Fundand the Family Takaful Fund, the combined totalnet assets of the three Funds stood atRM1,378,360,163. Therefore, the total net assetfigure shows an increase of 23 per cent incomparison with the previous figure ofRM1,121,633,108.

On the investment front, our Shareholders' Fundregistered a net return of RM7,445,543, or anincrease of 733 per cent from the previous total ofRM894,355 mainly due to write back of provision fordiminution in value of quoted shares and unit truststotalling RM4,344,309 compared to additionalprovision totalling RM5,289,242 in the previousyear.

Our share of income from the General TakafulFund improved to RM42,116,363 during the yearunder review, representing an increase of 5 percent from the preceding year. The share of incomeattributed from the Individual Sector of the FamilyTakaful Fund improved to RM10,924,151 againstRM6,223,551 in 2001. Our income from the GroupSector rose to RM10,489,855 from RM6,902,566 in2001.

In addition, the inward retakaful cession for theGeneral Takaful Business, albeit small, hadcontributed an additional figure of RM566,823 toour overall income.

PRESTASI KUMPULAN

Kumpulan merekodkan keuntungan bersihyang menurun sedikit sebanyak RM10,340,508kesan kerugian PT Syarikat Takaful Indonesia (STI),Arabian Malaysian Takaful Company (AMTC) andAmana Takaful Limited (ATL).

RANGKAIAN CAWANGAN

S e b a g a i u s a h a b e r t e r u s a n u n t u kmempertingkatkan mutu khidmat khususnyadiperingkat rangkaian, dalam tahun yang dikaji,sebuah (1) cawangan baru telah dibuka diSeksyen 13, Shah Alam, Selangor bagimenggantikan cawangan yang sebelumnyabertempat di bangunan PKNS, dimana ianya dikirasebagai cawangan biasa.

Pada akhir tahun yang dikaji, keseluruhanrangkaian saluran perniagaan kami telahberkembang kepada 28 pejabat cawanganutama dan 74 cawangan biasa, yang beroperasidi semua ibu negeri dan bandar-bandar utamalain di seluruh negara.

PENGAMBILAN DAN PEMBANGUNAN KAKITANGAN

Pada akhir tahun yang dikaji, kami mempunyaikekuatan 1,130 orang warga kerja - terdiridaripada 657 eksekutif disemua peringkat dan 473daripada kumpulan perkeranian dan bukanperkeranian termasuk eksekutif khusus bagimemasarkan produk-produk takaful keluarga dibawah Sektor Individu. Sebagai perbandingan,jumlah warga kerja tahun sebelumnya ialah 1,072orang.

Selangkah dengan falsafah korporat kamiuntuk membina gunatenaga yang cekap sertabermotivasi, seiring dengan dasar pembangunansumber daya manusia yang mantap dancemerlang dengan daya kemahiran yang tinggi,maka langkah-langkah khusus telah diambil dalamtahun yang dikaji untuk mempertajamkankemah i ran tekn i ka l , memperkukuhkanprofesionalisma dan mewujudkan etika kerja yanglebih baik dikalangan warga kerja.

Bagi maksud ini, berbagai program latihan dankursus ulangkaji telah diadakan sepanjang tahunyang dikaji untuk semua peringkat warga kerja.Selain daripada itu, program khas bertajuk `SijilKompeten Takaful' dan 'Diploma Takaful' telahdisusun dan dikendalikan dengan kerjasamaUniversiti Teknologi Mara (UiTM). Semua programlatihan kami dianjurkan bersama dengan IslamicBanking and Finance Institute Malaysia (IBFIM).

In all, our total income during the financial yearunder review increased by 31 per cent toRM71,542,735 from RM54,457,686 in 2001.

With the overall recovery of the equity marketas at the end of the financial year, we wrote backprovisions for diminution in the value of quotedshares and unit trusts in respect of the Shareholders'Fund totalling RM4,344,309.

Taking into account the operating expenses ofRM57,439,305, we posted a profit of RM14,103,430before zakat and taxation for the year underreview. This represents an increase of 109 per centover the corresponding profit of RM6,735,334posted in 2001.

After deducting zakat amounting to RM966,856and provision for taxation of RM1,148,258, our netprofit increased to RM11,988,316 from RM3,696,279in 2001. With the total accumulated profit ofRM34,319,304 brought forward from the previousyear, the total profit retained increased toRM43,337,620.

In view of the overall growth of the business, theBoard of Directors recommends a tax-exemptdividend of 7.5 per cent, appropriating a sum ofRM4,125,000.

GROUP'S PERFORMANCE

The Group recorded a slightly lower net profit ofRM10,340,508 due to lossess of PT Syarikat TakafulIndonesia (STI), Arabian Malaysian TakafulCompany (AMTC) and Amana Takaful Limited(ATL).

BRANCH NETWORK

In consonant with the on-going programme toupgrade our services particularly at the outlet level,one (1) new branch was opened during the yearat Seksyen 13, Shah Alam, Selangor, to replace theprevious branch located at the PKNS buildingwhich has been regarded as a minorbranch.

At the end of the financial year, our network ofoutlets expanded to 28 main branch offices and 74minor branches, covering all major and secondarytowns nation-wide.

STAFF RECRUITMENT AND DEVELOPMENT

At the end of the year under review, our totalstaff strength totalled 1,130 - comprising 657executives at all levels and 473 in clerical andnon-clerical grades, including special executivesresponsible for marketing family products under theIndividual Sector. In comparison, the total numberof staff in the previous year was 1,072.

Bagi mempertingkatkan lagi persaingan didalam industri takaful khususnya dan industriinsurans amnya, kami telah mencapai penarafanMS ISO 9001:2000 Sistem Pengurusan Kualiti bagiskop perkhidmatan di bawah kedua-duaPerniagaan Takaful Keluarga dan Takaful Am yangmeliputi proses pengeluaran sijil dan prosestuntutan dalam tahun yang dikaji.

Rating Agency Malaysia Berhad (RAM) jugatelah mengesahkan semula penarafan A1 buattahun kedua berturut-turut bagi KeupayaanMembayar Tuntutan Takaful Malaysia yang muladiperolehi pada tahun 1999.

SYARIKAT- SYARIKAT SUBSIDIARI DAN BERSEKUTU

Dalam tahun yang dikaji, Asean RetakafulInternational (L) Ltd. (ARIL), telah genap tahunkelima operasinya sebagai pengendali takafulsemula khusus kedua-dua Perniagaan TakafulSemula Keluarga dan Perniagaan Takaful SemulaAm. ARIL mencatat perolehan sebenar dankeuntungan sebelum zakat dan cukai masing-masing sebanyak RM4,537,253 dan RM1,856,487.ARIL juga masih terus menerajui pengurusanPakatan Takaful Semula Skim Takaful Kebakaran dibawah Perniagaan Takaful Am yang telahdilaksanakan pada 1 Oktober 1996 lanjutandaripada projek Kumpulan Takaful Asean (ATG).

Perkhidmatan ARIL telah dikembangkan lagibagi meliputi fungsi sekretariat bagi ATG, sebuahorganisasi antarabangsa pengendali-pengendalitakaful dan takaful semula di rantau Asean.

Baru-baru ini ARIL telah melancarkan Takaful LilIstithmar, produk “investment-linked” luar pesisiryang pertama berdasarkan prinsip Islam yangmemberikan peluang pelaburan unik bagi danaIslam Antarabangsa terpilih juga manfaat takaful.

Dalam tahun yang dikaji, Amana Takaful Ltd, SriLanka (ATL), syarikat bersekutu dengan pegangan20 peratus daripada ekuitinya telah genap tahunkeempat operasinya. Memandangkan operasinyayang masih baru, ATL masih mencatatkan kerugianpada tahun yang dikaji.

Kami juga terus memegang saham dalam PTSyarikat Takaful Indonesia (STI), denganpeguasaan 56 peratus. Walau bagaimanapun, STImencatatkan kerugian pada tahun yang dikaji.

Pada tahun yang dikaji, Arabian MalaysianTakaful Company (AMTC), satu lagi syarikatbersekutu juga mencatatkan kerugian. TakafulMalaysia mempunyai pegangan 49 peratus ekuitidalam AMTC yang memulakan operasi dalamtahun 2000 dan telah diperbadankan di Bahrain

Towards this end, various categories of trainingprogrammes and refresher courses wereconducted throughout the year. In addition,special programmes such as 'Certificate ofCompetency in Takaful' and `Diploma in Takaful'were specifically designed and conducted incollaboration with Universiti Teknologi Mara (UiTM).All of our training programmes had been organisedjointly with Islamic Banking and Finance InstituteMalaysia (IBFIM). We had also sent our staffmembers abroad to participate in relevant trainingcourses.

As a further measure to enhance ourcompetitiveness in the takaful industry in particularand in the insurance industry in general, we haveobtained the MS ISO 9001:2000 QualityManagement System certification in two coreareas covering the areas of certificate issuanceand claims payment during the year.

Rating Agency Malaysia Berhad (RAM) alsoreaffirmed for the second year running the ClaimPaying Ability Rating of A1 for Takaful Malaysiawhich was first obtained in 1999.

SUBSIDIARY AND ASSOCIATED COMPANIES

During the year, Asean Retakaful International(L) Ltd (ARIL) completed its fifth year of operationsas a specialised retakaful operator for both theGeneral Business and the Family Business. ARILregistered an actual turnover and profit beforezakat and taxation of RM4,537,253 andRM1,856,487, respectively. ARIL also continued tomanage the Retakaful Pool for Fire Takaful Schemeunder the General Takaful Business which wasestablished on October 1, 1996, followingthe formation of the Asean Takaful Group(ATG).

The services of ARIL had been extended toinclude secretarial functions for the ATG, aninternational association of takaful and retakafuloperators in the Asean Region.

Recently, ARIL launched Takaful Lil Istithmar, thefirst Islamic offshore investment-linked fund whichprovides unique investment opportunities inselected International Islamic funds as well astakaful benefits.

At the same time, Amana Takaful Limited, SriLanka (ATL), a 20 per cent associated companycompleted its fourth year of operation. Since theoperation is relatively new, ATL still registered lossesduring the year.

KERJASAMA TEKNIKAL

Takaful Malaysia terus menjalinkan kerjasamadengan IBFIM bagi menganjurkan kursus-kursusmengenai operasi takaful bagi menyebarkanmaklumat dan mempromosi perniagaan takafulke segenap lapisan masyarakat, termasuk di luarMalaysia. Juga langkah ini bertujuan memperbaikidan mempertingkatkan kemahiran teknikalkakitangan pengendali-pengendali takaful sertapihak-pihak lain yang berminat di dalam dan luarnegara. Bagi tujuan ini, beberapa orang pegawaikanan kami secara aktif telah terbabit dalammengendalikan kursus dan program latihansebagai fasilitator dan penceramah. Ini adalahselaras dengan usaha memperkenalkanperniagaan takaful ke pentas antarabangsa.

MASA HADAPAN

Walaupun keadaan semasa ekonomi globaladalah muram, Kerajaan menjangka bahawaekonomi Malaysia akan mencatat kadarpertumbuhan yang lebih tinggi tahun hadapan.

Berdasarkan Laporan Ekonomi 2002/2003,Malaysia menjangka kadar pertumbuhan antara6% hingga 6.5 % pada tahun hadapan daripadajangkaan 4% hingga 5% pada 2002,memandangkan semua sektor ekonomi diramalakan berkembang. Tambahan lagi, Kerajaan telahmengumumkan pakej kewangan khas bagimempertingkatkan pertumbuhan ekonomiMalaysia.

Dengan pemulihan sederhana ekonomi duniapada tahun ini, ekonomi global dijangkamencatat pertumbuhan sebanyak 3.7% padatahun hadapan.

Sekalipun dalam kelembapan ekonomi, kamimeramalkan bahawa prestasi secara keseluruhan,terutamanya bagi Perniagaan Takaful Keluargaakan terus bertambah baik. Ini berdasarkankepada hakikat pasaran yang masih belumditerokai sepenuhnya, lebih-lebih lagi dikalanganmasyarakat Bumiputra Islam, selain daripadahakikat rata-rata takaful itu sendiri kian meningkatpopularitinya dikalangan masyarakat. Kami jugamenjangka jumlah penyertaan badan-badankorporat termasuk syarikat-syarikat multi-nasionaldalam pelbagai produk takaful khususnya dibawah Perniagaan Takaful Am akan turutmeningkat.

Di samping itu juga, kami akan terusmenyediakan produk-produk takaful yang lebihinovatif dan berpatutan dengan nilai wang untukmemenuhi dan memuaskan permintaan ke ataskeperluan insurans disemua peringkat pelanggan.

We also maintained our shareholdings in PTSyarikat Takaful Indonesia (STI), of 56 per cent.However, STI registered lossess during the year.

During the year, another associated company,Arabian Malaysian Takaful Company (AMTC) alsoregistered a loss. Takaful Malaysia has 49 per centequity holdings in AMTC which commencedoperation in 2000 and was incorporated in Bahrainas an off-shore entity specialising in medical/health takaful products for the Saudi market.

TECHNICAL COOPERATION

Takaful Malaysia in close collaboration withIBFIM organised training courses in takafuloperations to further disseminate and promote thetakaful business to all sectors as well as to improveand sharpen the technical skills of staff members oftakaful operators and other interested parties bothat locally and abroad. Towards this end, a numberof our senior personnel actively participated inthese courses and training programmes asfacilitators and speakers. This is in line with themove to indirectly promote takaful business to theinternational arena.

PROSPECT

Despite the current gloomy global outlook, theGovernment expects the Malaysian economy toregister a higher growth rate in the coming year.

Based on the latest Economic Report2002/2003, Malaysia is expected to register agrowth rate of between 6% to 6.5% next year froman estimated 4% to 5% in 2002, in view of theanticipated expansion of all sectors in theeconomy. A further boost may be expectedfollowing the recent announcement by theGovernment of a special financial package tostimulate the Malaysian economic growth.

With a mild recovery in the world economy thisyear, the global economy is projected to register agrowth of 3.7% next year.

Peralihan ke alaf baru akan membawakepada era di mana e-dagang dijangka akanmemainkan peranan yang penting dalam duniaperniagaan. Langkah ke arah globalisasi akanmemperhebatkan suasana persaingan. Organisasiyang berjaya menggunakan teknologi maklumatakan mendapat kelebihan strategik dalamsuasana persaingan perniagaan di masahadapan.

Bagi menghadapi senario ini, kami sebagaisalah satu perintis dalam memperkenal danmempromosikan aplikasi perdaganganelektronik yang pertama bagi syarikat insuran/pengendali takaful dengan pelancaran "PortalFinancial Link" dalam bulan Oktober 1999. Melaluiperkhidmatan in i , Peserta-peserta bolehmemperbaharui sijil takaful kenderaan masing-masing dan mengurus bayaran sumbangantakaful melalui Internet. Memandangkanpembayaran secara talian terus hanya bolehdibuat melalui kad kredit, kami telahmengantaramuka dengan portal Maybank 2Ubagi menawarkan khidmat kepada pemegangakaun Maybank.

Setapak kehadapan, kami menjadi salah satusyarikat insurans/ pengendali takaful pertamaterlibat dalam projek perintis "Road TransportDepartment's (RTD) eCoverNote". Melalui projek ini,semua sijil kenderaan takaful yang dikeluarkanakan dihantar ke Jabatan Pengangkutan Jalan(JPJ) secara elektronik. Sijil takaful tersebutdigunakan untuk pengeluaran cukai jalan oleh JPJdan akan dikembalikan secara elektronik kepadaTakaful Malaysia untuk disahkan bagi mengawasipemalsuan sijil atau nota perlindungan. Denganini, kami telah maju setapak kehadapan dalame-dagang ke arah mempertingkatkan komunikasidiantara organisasi dan juga menyokong danmelengkapkan suasana Kerajaan elektronik, satudaripada kemegahan Koridor Raya MultimediaMalaysia.

This assessment is based onthe large untapped market particularly among theBumiputra Muslim population and increasingpopularity of takaful business among the public.We also expect the volume of participation fromcorporate bodies including multinationalcompanies in various types of takaful products,particularly under the General Takaful Businesswould continue to grow.

Furthermore, we will continue to provide moreinnovative and value-for-money takaful productsthat are capable of meeting the demandsof all levels of participants. We will also continueto be market-driven and customer focusin order to remain competitive andsuccessful.

Special emphasis will be focussed on thestrategy of enhancing the skills of the specialisedmarketing executives in order to promote theIndividual Sector of the Family Takaful Business, inline with the Government's policy to inculcate thesavings habit among the population. The policy ofproduct diversification will be intensified to meetthe growing demands for takaful services.However, this policy will be carried out with careand utmost prudence.

INFORMATION TECHNOLOGY

The new millennium will mark the era wheree-commerce would play a critical role in thebusiness environment. The move towardsglobalisation will further intensify competition.Organisations that can harness informationtechnology will have the strategic advantage inthe future.

Recognising this, we among the pioneers tointroduce and promote the first e-commerceapplication in the insurance/takaful industry withthe launching of the "Financial-Link Portal" inOctober 1999. Under this service, Participants mayconveniently pay and renew their motor takafulcertificates through the Internet. Since onlinepayment can only be made via credit cards, wehave interfaced with Maybank 2U portal in order toextend the services to Maybank accountsholders.

Advancing further, we are one of the firstamong a selected group of insurance companies /takaful operators to be involved in the "RoadTransport Department's (RTD) eCoverNote" pilotproject. Under this project, all of our motor takafulcertificates issued will be electronically submittedto the RTD. The takaful certificates used for theissuance of road tax will then be electronicallyreturned to Takaful Malaysia for authenticationpurposes to detect fraudulent takaful certificates

Objektifnya adalah untukmembolehkan penyertaan pelbagai produkdilakukan secara talian terus melalui Internet.

Di samping itu, aplikasi Intranet dan e-mail kamidapat mempertingkatkan lagi komunikasidalaman dan memudahkan penyebaranmaklumat bagi menambahkan produktiviti danmutu khidmat kepada pelanggan.

This project would run for a periodof at least eighteen (18) months. The newintegrated system would benefit the Participants interms of efficient customer service.

The on-line computer system facility at all of ouroutlets provides convenient and efficient service toall Participants. Our web-site (www.takaful-malaysia.com) serves as an effective marketingtool to promote and disseminate knowledge onthe concept and operation of takaful as well as thevarious types of takaful products offered. Theobjective is to facilitate the public in participatingin various takaful products via the Internet.

Our Intranet and e-mail applications alsoprovide the framework to promote better internalcommunication and facilitate access to keyinformation that may assist in improvingproductivity and good quality of services toparticipants.
