Con inmenso placer, y expresando de an-temano el orgullo que me significa pre-sidir el Consejo de Administración de laCorporación Financiera Habana S.A.(CFH), les presento su Informe Anual co-rrespondiente al año 2001, período enel cual la compañía ha mantenido, comoen cada año, incrementos significativosen todos sus indicadores.

Al cierre de su tercer año de trabajo, lacuenta de resultados de CFH registró unincremento en sus cifras, después de im-puestos, del 28,95% en comparación con

el cierre de 2000, lo que se traduce en una utilidad neta de 1090 216.62 dólares. Este datorefleja la capacidad de CFH para conjugar crecimiento y rentabilidad. El incremento de losmárgenes y el mejor aprovechamiento de nuestros gastos e inversiones arrojan un ratio deeficiencia del 18,71%.

La rigurosa política de crédito se manifiesta en la calidad de los activos, nuestra carteramantiene, un año más, un ratio de morosidad de 0,00%. La solvencia de CFH sigue sutendencia positiva y se sitúa al cierre de ejercicio en un 47,9%.

Continuando su estrategia de inserción en el mercado nacional cubano, en atención a susnecesidades y condiciones, CFH ha mantenido y ampliado su cartera de clientes, lo que hacontribuido a su consolidación dentro del sistema financiero nacional.

Debo señalar que todo lo anterior, detallado en el cuerpo de este informe, es consecuenciadirecta de la confianza que depositan en CFH sus clientes, estímulo para conseguir unapermanente mejora en los servicios que presta la compañía. Quiero también destacar elesfuerzo de todos los profesionales de CFH, y agradecer su dedicación y entrega a esteproyecto común.

It is with immense pleasure, and I would say in advance how proud I am to be chairingthe Board of Directors of Corporación Financiera Habana S.A. (CFH), that I present toyou its Annual Report for 2001, a period in which the company has, as every year,continued to make significant progress in all indicators.

At the end of its third year of operation CFH’s income statement recorded after-taxgrowth of 28.95% over the close of 2000, giving net profits of 1,090,216.62 dollars.This reflects CFH’s ability to combine growth and profitability. The increase in marginsand improved utilisation of our costs and investments give an efficiency ratio of 18.71%.

The rigorous credit policy can be seen in the quality of assets - our portfolio records, foryet another year, a level of default of 0.00%. CFH’s solvency continues its upward trendand at the year-end was 47.9%.

Continuing its strategy of integration into the Cuban market, responding to thecircumstances and requirements of that market, CFH has maintained and extended itscustomer portfolio, playing a part in consolidating the company within the Cubanfinancial system.

I must point out that all the foregoing, set out in detail in the body of this report, is thedirect result of the confidence its customers have placed in CFH, a spur to us to achieveongoing improvement in the services the company provides. I also wish to highlight theeffort put in by all the CFH staff and to thank them for their dedication and commitmentto this joint project.

Corporación Financiera Habana se conso-lida en este, su tercer ejercicio, como lacompañía financiera que en octubre de1998 proyectaron sus socios, BANCO PO-PULAR DE AHORRO y CAJA MADRID. CFHfue la primera compañía mixta creada enCuba en el sector financiero.

De acuerdo a los objetivos trazados, CFHes hoy referencia en el mercado financierocubano. Este papel se debe, en gran medi-da, a la confianza depositada en eldesarrollo de la economía cubana, mante-niendo criterios de seguridad, eficiencia yrentabilidad. Igualmente, el éxito de CFHes consecuencia directa del decidido apo-yo institucional que recibe la compañía porparte de sus socios y de las medidas deorden organizativo y estructural que arran-can mucho antes de su propia constitución.

El año 2001 ha significado madurez, tradu-cida en una mejor calidad de los serviciosque presta CFH y en una mejora constantede los procesos que agilizan la respuesta alos clientes. Ha sido este año también unaño para buscar nuevas oportunidades denegocio partiendo de una cartera saneaday de un conocimiento profundo de la reali-dad empresarial cubana.

No se puede dejar de mencionar la reper-cusión que tuvieron en el contextoeconómico internacional los acontecimien-

In line with the targets outlined, CFH istoday a benchmark in the Cuban financialmarket. This role is due, to a large extent,to its confidence in the development of theCuban economy, adhering to requirementsof security, efficiency and profitability. Thesuccess of CFH is also the direct result ofthe resolute corporate support thecompany has received from itsshareholders and of the organisational andstructural measures under way since a longtime before CFH itself was actuallyincorporated.

2001 has brought maturity, reflected in anincrease in the quality of the services CFHprovides and in constant improvement inthe processes providing a swift and flexi-ble response to customers. This has alsobeen a year for seeking new businessopportunities, from the starting point of astreamlined portfolio and in-depthknowledge of the realities of Cuban busi-ness.

La combi-nación de estas circunstancias afecto demanera especialmente grave a sectoresestratégicos como el eléctrico y el sec-tor turístico. Sin duda, la superación conéxito de estas circunstancias, avalan lafortaleza de la compañía, que supo en-tender y reaccionar con suficienteagilidad ante la nueva realidad econó-mica. CFH apoyó decididamente aaquellos sectores más afectados por lacrisis, contribuyendo así a paliar susefectos.

Desde su creación CFH ha consolidado tam-bién sus indicadores de eficiencia,rentabilidad, productividad y solvencia. Sibien el plazo de 3 años es corto en la vidade cualquier empresa, a toda vista se hanalcanzado logros significativos para esta pri-mera etapa de actividad de la compañía,con un avance sostenido que se muestraen la evolución de CFH en el período trans-currido, por lo que es intención de esteinforme mostrar las diferentes cifras de lacompañía de forma comparativa en estostres años de actividad.

CFH gave firmsupport to the sectors worst affectedby the crisis, helping to mitigate itseffects.

Since its creation CFH has alsoconsolidated its efficiency, profitability,productivity and solvency figures.Although 3 years is a short time in thelife of any company, from any point ofview significant achievements havebeen made for the first phase of thecompany’s activity, with sustainedprogress shown in CFH’s growth overthe period. This report seeks thereforeto give a comparative view of thevarious company figures over thesethree years of its activity.

Los principios de actuación de CFH enel 2001, -cumplidos en casi su totali-dad- fueron los siguientes:

ü Cartera de inversión crediticiapor encima de 30.0 MM USD.

ü Morosidad por debajo del 2%.ü Mantenimiento de la política de

inversión en sectores priorizadospor el país.

ü Distribución del riesgo por secto-res de la economía, atendiendo ala situación, evolución y peso es-pecífico de estos.

ü Utilización por encima del 90%de las líneas de crédito y de ries-go aprobadas.

ü Incremento de las operacionesde avales y garantías.

ü Potenciación de las operacionesde comercio exterior.

Pese a las circunstancias del último tri-mestre del año, es de destacar que laactividad crediticia de CFH continuó de-sarrollándose con normalidad,adaptándose la compañía a los reajus-tes necesarios derivados de la situacióndel sector turístico a fines de año, cum-pliendo con la línea trazada dedistribución y calidad del riesgo porclientes y sectores.

CFH’s business targets in 2001, achievedin their entirety, were as follows:

ü Loans and advances portfolioabove 30 million USD.

ü Level of default less than 2%.ü Continuance of policy of

investment in the country’spriority sectors.

ü Spread of risk by economicsectors, in keeping with thecircumstances, evolution andindividual importance of eachsector.

ü Over-90% use of approvedlines of credit and risk.

ü Increase in security andguarantee operations.

ü Facilitating foreign tradeoperations.

Notwithstanding the enviroment in thelast quarter, it should be noted thatCFH’s lending business continued toprogress normally, and the companywas able to respond to the necessaryadjustments resulting from the situationin the tourism sector at the end of theyear, meeting the targets set for thespread and quality of risk by customerand sector.

La inversión crediticia al concluir el año fuede USD 33,121,363, con un volumen definanciación bruta desembolsada a clien-tes de USD 58,869,821.

El número de clientes en igual período au-mentó de 150 a 210, un 40% deincremento, concediéndose 453 nuevasoperaciones. A pesar de las dificultadesexpuestas del último trimestre, y comomuestra de la capacidad de respuesta deCFH, el 40% del número total de clientescaptados en el año, encontraron una res-puesta favorable a sus necesidades definanciación en el período septiembre – di-ciembre de 2001, manteniendo un índicede morosidad del 0%.

CFH cuenta con una línea de comercio ex-terior en CAJA MADRID que permite ofrecerel servicio de apertura de créditosdocumentarios con facilidades financierasde la compañía. Estos operaciones son rea-lizadas bajo un peculiar esquema aplicadopor CFH que facilita la conversión de ope-raciones comerciales con empresascubanas en garantías suficientes para laemisión de créditos documentarios plena-mente aceptables en el mercadointernacional. Esta línea de comercio exte-rior ,- recientemente ampliada envencimiento e importe - permitió abrir du-rante el año créditos documentarios porun valor superior a los 2 MM USD.

Loans and advances at the year-end stoodat USD 33,121,363, with gross financingdisbursement to customers of USD58,869,821.

In the same period the number ofcustomers rose from 150 to 210, a 40%increase, and 453 new operations wereapproved. Despite the difficulties referredto in the last quarter, and as an illustrationof CFH’s capacity for response, 40% of thetotal number of new customers during theyear received a favourable response to theirfinancing requirements in the periodSeptember to December 2001, with a 0%level of default.

CFH has a foreign trade line in Caja Ma-drid which enables it to offer documentarycredits using the company’s own financialfacilities. These operations are carried outusing a special system employed by CFHunder which commercial transactions withCuban businesses can be converted intosufficient guarantees for the issue ofdocumentary credits which are fullyacceptable on the international market.This foreign trade line, recently extendedas regards term and amount, alloweddocumentary credits for more than 2million USD to be opened in the course ofthe year.

Es de destacar que los incrementos delas cifras de negocio y los resultados dela compañía a través de estos 3 años sehan alcanzado con una reducida planti-lla de trabajadores (ocho, entre personaltécnico y de administración), la cual ape-nas ha variado desde su creación. Estoha permitido que año tras año haya idomejorando el ratio de eficiencia, el cualfue de 18.71% al cierre de 2001, contra22.37% en el año 2000 y 42.67% en1999, índices muy favorables en el sec-tor financiero. Como resultado de ello,en 2001 CFH logró un beneficio an-tes de impuestos por empleado deUSD 264,907, cifra que puede cali-ficarse de extraordinaria.

Durante el período CFH elaboró y sus-cr ibió 92 nuevos contratos,instrumentando operaciones de ries-go, directo o de firma, en sus diversasmodalidades: préstamo, crédito, des-cuento, leasing, aval, etc. Siguiendo laestrategia trazada en períodos anterio-res, orientada a incrementar lasoperaciones fuera de balance y conso-lidar nuestra presencia en lafinanciación del comercio exterior, CFHaumentó sustancialmente en el 2001 elnúmero de fianzas y avales concedidos,así como el número y volumen de loscréditos documentarios emitidos porcuenta de clientes.

It is of note that the growth in thecompany’s turnover and results inthese 3 years has been achieved witha small staff (eight, between technicaland administrative personnel), whichhas barely changed since its creation.This has meant that efficiency hasimproved year after year, reaching18.71% at the close of 2001,compared with 22.37% in 2000 and42.67% in 1999, which are very goodfigures in the financial sector. CFHconsequently achieved pre-tax profitsper employee in 2001 of USD 264,907,which can be described asextraordinary.

During the period, CFH drew up andentered into 92 new contracts,documenting various types of direct andoff-balance sheet risk operations -loans, credits, discounts, leasing,guarantees, etc. In line with the strategyoutlined in previous periods, directedat increasing off-balance sheettransactions and consolidating ourpresence in financing foreign trade, in2001 CFH increased substantially thenumber of securities and guaranteesgranted, and the number and volumeof documentary credits issued on behalfof customers.

En el 2001 CFH continuó adelante con supolítica de sindicación de operaciones conentidades financieras radicadas en el país,sobre la base del principio de aprovecharlas sinergias positivas que pueden gene-rar estas asociaciones en favor deproyectos empresariales con marcado in-terés nacional. Dando continuidad a la vertiente de ase-soramiento empresarial contemplada en sulicencia, en el 2001 CFH ofreció a clientesy entidades financieras nacionales confe-rencias y encuentros formativos sobretemas económico-financieros, contribuyen-do así al desarrollo de la cultura económicadel empresariado nacional. El 2001 fue un ejercicio particularmenteimportante desde el punto de vistainstitucional. Durante este período CFHdebió asumir por primera vez desde suconstitución en 1998, el reto de la renova-ción de sus órganos de dirección. Esteproceso fue afrontado con seguridad y ab-soluta normalidad, demostrándose así lacapacidad de adaptación alcanzada por laorganización, y su consolidación como pro-yecto a largo plazo. En el año se celebraron tres reuniones delConsejo de Administración y tres sesionesde la Junta de Accionistas de la Sociedad.En estas sesiones los máximos órganos de

Continuing the business advice activitycovered by its licence, in 2001 CFHoffered its customers and Cubanfinancial inst itutions lectures andtraining seminars on economic andfinancial topics, contr ibuting todevelopment of Cuban economic andbusiness culture.

2001 was a particularly significant yearin terms of corporate affairs. Duringthe period CFH had, for the first timesince its incorporation in 1998, to facethe cha l lenge of renewing i t smanagement bodies. This process wastackled with confidence and completenormality, displaying the capacity foradaptation the company has achievedand its consolidation as a long-termproject.

The Board of Directors met three timesduring the year, and there were threeGeneral Meetings. At the latter, CFH’s

En el año 2001 se concedieron operacio-nes por un importe total de 58,9 MM deUSD distribuidos entre los más de 210 clien-tes con los que CFH colaborafinancieramente, lo que consolida la ten-dencia de años anteriores en cuanto al cre-cimiento del número de clientes y el núme-ro total de operaciones concedidas. La car-tera de riesgo de CFH se situó en los 32,1MM de USD, lo que representa una utiliza-ción casi plena de los recursos disponibles.

CFH se caracteriza por mantener una estre-cha colaboración con sus clientes y por rea-lizar un estudio riguroso de las operacio-nes planteadas. Estos son aspectos que con-tribuyen decisivamente a adquirir una ex-periencia y conocimiento del mercado cu-bano, que han permitido a su vez, que los2.689 pagos realizados a CFH desde su crea-ción (de los que 1.323 se efectuaron a lolargo del 2001) se hayan desenvuelto contotal normalidad, habiendo obtenido unporcentaje de morosidad de 0%.

1. Descripción de la compañía

Corporación Financiera Habana (en adelante, la “Sociedad”) fue constituida en laHabana (Cuba) el 9 de octubre de 1998. Su objeto social comprende el desarrollo de lassiguientes actividades:

1. Otorgar, gestionar, promover y participar en la concesión de créditos, présta-mos y otras formas tradicionales de financiación a corto, medio y largo plazoa entidades que están domiciliadas u operando en Cuba.

2. Realizar actividades de prefinanciación y financiación de actividades producti-vas, de comercio exterior, de proyectos y de promociones inmobiliarias.

3. Desarrollar y poner en práctica modalidades crediticias y de gestión.

4. Ofrecer servicios financieros y de gestión tales como: cobertura de tasas deinterés y riesgo cambiario, avales, garantías y fideicomisos.

2. Bases de presentación de los estados financieros y principios de contabilidadaplicados

Los estados financieros adjuntos se han preparado a partir de los registros de conta-bilidad de la Sociedad y se presentan en dólares estadounidenses, siendo la prácticatotalidad de las transacciones realizadas en dicha moneda.Los principales principios contables aplicados en la preparación de los estados fi-nancieros adjuntos se resumen a continuación:

a) Reconocimiento de ingresos y gastos

Los ingresos y gastos se reconocen en función de su período de devengo.

b) Créditos sobre clientes y fondo de insolvencias.

En el epígrafe “Créditos sobre clientes” del balance de situación se recoge el nominal pendiente correspondiente a las inversiones crediticias por operaciones de des-cuento comercial y el principal pendiente por operaciones de préstamos y de opera-ciones de leasing, minorados por el fondo de insolvencias que cubre dichas inversio-nes.

Las cuentas a cobrar por operaciones de descuento comercial se contabi-lizan por el importe de las remesas entregadas por los clientes. La diferen-cia entre el efectivo entregado a los clientes y el nominal de dichas remesasse encuentra contabilizado en la cuenta “Primas por operaciones de des-cuento comercial” dentro del epígrafe “Otros pasivos” del balance de si-tuación adjunto (véase Nota 9).

El Fondo de insolvencias tiene por objeto cubrir las posibles pérdidas quepuedan originarse en la realización de los saldos a cobrar a los deudores ocedentes. La Sociedad, siguiendo un criterio de prudencia, constituyeuna provisión para cubrir posibles créditos incobrables futuros que se haevaluado en un 1% sobre el importe total de la inversión concedida.Adicionalmente, la sociedad ha procedido a constituir durante el ejercicio2001 provisiones sobre el riesgo concedido a dos clientes en función desu situación financiera. De este modo, durante el ejercicio 2001, se hadotado dicho fondo con cargo al epígrafe “Otros gastos” de la cuenta depérdidas y ganancias del ejercicio por importe de 534.988 dólares USA,con lo que al 31 de diciembre de 2001, el fondo de insolvencias acumula-do, que se presenta minorando el epígrafe “Créditos sobre clientes” delbalance de situación adjunto (véase Nota 5), asciende a 1.094.557 dóla-res USA.

c) Activos inmateriales

Este epígrafe del balance de situación al 31 de diciembre de 2001 incluyelas inversiones en aplicaciones informáticas y los gastos de constitución,que se encuentran contabilizados por los costes incurridos netos de suamortización. La amortización, tanto de las aplicaciones informáticas comode los gastos de constitución, se calcula de acuerdo a un método lineal,aplicando los porcentajes del 10% y del 15%, respectivamente.

El cargo en la cuenta de pérdidas y ganancias en el ejercicio 2001 enconcepto de amortización de las aplicaciones informáticas y gastos deconstitución ha ascendido a 1.400 y 2.384 dólares, respectivamente, quese encuentran registrados en el epígrafe “Otros Gastos” de la cuenta depérdidas y ganancias del ejercicio 2001.

d) Activos materiales

A 31 de diciembre de 2001, el activo funcional se encuentra registrado a su coste deadquisición, neto de la correspondiente amortización acumulada.

La amortización del inmovilizado material se calcula de acuerdo con el método li-neal, en función de los años de vida útil de los diferentes elementos, aplicando lossiguientes porcentajes de amortización:

Los gastos de conservación y mantenimiento en los que se haya incurrido durante elejercicio se cargan en la cuenta de pérdidas y ganancias.

El cargo en la cuenta de pérdidas y ganancias en el ejercicio 2001 en concepto deamortización del inmovilizado material ha ascendido a 30.283 dólares USA, que seencuentran registrados en el epígrafe “Otros Gastos” de la cuenta de pérdidas yganancias del ejercicio 2001.

e)Impuestos

La Sociedad está sujeta al Impuesto sobre Utilidades con un tipo de gravamen del30%, habiendo efectuado la sociedad los pagos de los tres trimestres anteriores comoestá establecido según la legislación vigente (véase Nota 10). Los otros conceptos a losque está obligada la sociedad se refieren a la Utilización de la Fuerza del Trabajo,Contribución a la Seguridad Social y el Transporte Terrestre, los cuales han sido paga-dos con cargo a la cuenta de pérdidas y ganancias del ejercicio. Al 31 de diciembre de2001, en el capítulo “Otros pasivos – Impuestos a pagar” del balance de situaciónadjunto se incluye el importe correspondiente al último trimestre del ejercicio 2001 delImpuesto sobre Utilidades a pagar al inicio del año 2002 (véase nota 9).

5.Créditos sobre clientes

La composición de este epígrafe del balance de situación adjunto es la siguiente:

El saldo de la cuenta “Préstamos” recoge el importe dispuesto por los deudores,pendiente de amortizar, de los préstamos concedidos por la Sociedad con la finali-dad que determina la normativa vigente. En este saldo, se incluye un préstamo porimporte de 5.000.000 de dólares USA concedido al accionista de la Sociedad, BancoPopular de Ahorro (véase Nota 7), formalizado a un tipo de interés fijo del 8,6875%cuyo vencimiento es diciembre del año 2002.

Del saldo total por operaciones de descuento comercial pendientes de vencimientoal 31 de diciembre de 2001, el 64,07% corresponde a operaciones de descuentocomercial sin recurso y el 35,93% corresponde a operaciones de descuento comer-cial con recurso, en las que el cedente asume la responsabilidad última del buen finde la operación.

Notes to Financial Statementsfor the Year Ended December 31, 2001

1. Description of the company

Corporación Financiera Habana (hereinafter “the Company”) was incorporated in Ha-vana (Cuba) on October 9, 1998 to engage in the following activities:

1. To grant, manage, promote and participate in the granting of loans, credits andother traditional forms of short-, medium- and long-term financing to entitiesdomiciled or operating in Cuba.

2. To perform prefinancing and financing of production activities, foreign trade,projects and real estate development.

3. To develop and implement means of providing and managing credit.

4. To offer financial and management services such as interest rate and currencyhedging, guarantees and trust services.

2. Basis of presentation of the financial statements and accountingprinciples applied

The accompanying financial statements were prepared from the Company’saccounting records and are presented in U.S. dollars, since substantially alltransactions are performed in that currency.

The main accounting principles applied in the preparation of the accompanyingfinancial statements are as follows:

a) Recognition of revenues and expenses

Revenues and expenses are recognized on an accrual basis.

b) Loans and credits and credit loss allowance

The “Loans and Credits” caption in the balance sheet includes the nominalamount outstanding of lending on commercial bill discount transactions andthe principal amount outstanding on loan transactions and leasing operations,net of the related credit loss allowance.

The accounts receivable from commercial bill discount transactions are recordedat the amount of the remittances delivered by customers. The difference betweenthe cash delivered to customers and the nominal amount of these remittances isrecorded under the “Other Liabilities - Premiums on Commercial Bill DiscountingTransactions” caption in the accompanying balance sheet (see Note 9).

The purpose of the credit loss allowance is to cover possible losses that mightarise in the collection of accounts receivable from debtors or assignors. Inaccordance with the principle of prudence, the Company records a provision tocover possible future uncollectible receivables which has been evaluated at of1% of the total amount of the lending granted. Also, in 2001 the Companyrecorded provisions for the risk exposure to two customers based on theirfinancial position Accordingly, in 2001, a provision of US$ 534,988 was recordedwith a charge to the “Other Expenses” caption in the 2001 statement of income,As of December 31, 2001, the cumulative credit loss allowance, which is recordedas a reduction of the “Loans and Credits” caption in the accompanying balancesheet (see Note 5), amounted to US$ 1,094,557.

c) Intangible assets

This balance-sheet caption as of December 31, 2001, includes investments incomputer software and incorporation expenses, which are recorded at costnet of the related amortization. The amortization of computer software andincorporation expenses is calculated by the straight-line method at rates of10% and 15%, respectively.

The charge in 2001 for amortization of computer software and incorporationexpenses amounted to US$ 1,400 and US$ 2,384, respectively, and is recordedunder the “Other Expenses” caption in the 2001 statement of income.

d) Property and equipment

As of December 31, 2001, the Company’s operating property and equipmentwas recorded at cost, net of the related accumulated depreciation.

The Company depreciates its property and equipment by the straight-line method atannual rates based on the following years of estimated useful life:

Upkeep and maintenance expenses are expensed currently.

The depreciation charge for 2001 amounted to US$ 30,283 and is recorded underthe “Other Expenses” caption in the 2001 statement of income.

e) Taxes

The Company is subject to corporate income tax at a rate of 30%, and has made thetax payments for the previous three quarters pursuant to current legislation (seeNote 10). The other items the Company is obliged to pay relate to workforce usage,social security taxes and land transportation, which were paid with a charge toincome for the year. As of December 31, 2001, the “Other Liabilities – Taxes Payable”caption in the accompanying balance sheet includes the amount relating to thecorporate income tax payment for the last quarter of 2001 payable at the beginningof 2002 (see Note 9).

The Board of Directors will propose to the Shareholders’ Meeting that the Company’s2001 net income be distributed as follows:

The balance of the “Loans” account includes the amount drawn down by borrowersand still to be repaid, of the loans granted by the Company for purposes determinedby current legislation. This balance includes a loan of US$ 5,000,000 granted to theCompany’s shareholder Banco Popular de Ahorro (see Note 7) at a fixed interest rateof 8.6875% and which matures in December 2002.

Of the total unmatured commercial bill discount transactions as of December 31,2001, 64,07% relate to without-recourse commercial bill discount transactions and35,93% to with-recourse commercial bill discount transactions, in which the assignorassumes final responsibility for the successful outcome of the transaction.
